This First Amendment & Renewal to City Secretary Contract (C5C} Number 51030
("Alnendment"} is by and between the City of Foi-� Worth ("Ciry"), a home-rule municipality organized
under• the laws of the State of TeYas, actin� by and tllrough its duly authorized Assistant City Manager,
and Climatec, LLC, acting through Biyai� Weidenbach, its General Manager (t11e "Vendor").
WHEREAS, the City and Contractor ei�ltered into a Vendor Services Agreement on July 1$, 201$
for the purchase af licenses and energy management and coiltrol system services, the same being City
Seeretary Contl�act ("CSC") No. 51030 ("the Agreement");
VVHEREAS, the ContraGt provided for an initial three-year term and far the possibility of two
one-year renewals, at the sole discretion of the City,
WHEREAS, the initial three-year term of the Agreement is set to expire on July 17, 2021; and
WHEREAS, the City and Vendor would like to now amend the agi-eernent to include a maximum
amo�int of funds available for expenditure under the Agreement per year and also wish to enter into the
first renewal term.
NOW, THEREFORE, City and Cantractor do covenant and agree as follows:

Tl�e Agreement is hereby amended by adding additional language at the bottom of
Schedule E"CHARGES, RATES & PRICING TERMS" of the Agreement with the following:
MA�IlVIUM AMt)UNT:
Tatal payment made under this Agreeinent by City shall be an amount not to e�ceed
Fiffy Six Thausand, Nine Hundred Fifty Four pol}ars (�56,954.00} per year. Vendor
shall not perforrn ar�y additional services ar bill for eYpenses incurred for City not
specifiecl by this Agreeinent unless City requests and approves in writing the additional
casts for such services. City shall not be (iable for any additional expenses of Vendor not
specified by this A�t�eement unless City first approves such expenses in writing.

The City and Contt•actor hereby agree to renew and extend the Agreement for a one-year renewal
period, effective on the 18th day of July 2021, and ending on July 17, 2022 ("First Renewal Tei�m").
All tertns and conditioils of the Agreement shall remain in fiill force and effect during the First
Renewal Term unless specifically ainended Izerein.

assigned to them in the Agreement.
