S. Disclasure of Conflicts and Con�dential Information. 5.1 Disclosure of Conflicts. Vendor hereby warra��ts to City that Vendor has made fi�ll discIosure in writii►g of any existin� or pote��tial co��f�icts of intea'est related to Veildor's setvices under this Ag�•eement. I�� the eveirt that any co��flicts of interest arise after the rffective Date of �his AgreeEnent, Venc�or here6y ag�-ees i�nmediately to inake full disciosure to City in w�-iting. 5.2 Confidential Information. Ve�-�dae, for itseli'and it�s office��s, age��ts and employees, agrees thai it will treat all infn�•matinn pR•avided to it by City ("City infoz•mation"} as co:nfidentiai a�zd will nat disclose any sucl► info��nation to a ihird party without the prio�� writtei� appl•oval of City. 5.3 Public Infarmation Act. City is a goverr►ment entity under the laws of the State of '1'exas and all docutz�ents held az' mai��tai�zed by City are subjeci to disclosure u►3der lhe Texas Public Inforrr►ation Act. I�� the e�ent there is a reqiEest for information ma��ked Confidential oi• Propri�tary, City will p�-omptly notify Ve��dor. It will be the �•espo��sibility of Vendor to submit reasons ohjecting to disclosure. A dctermiiiatio�� on whether suci� reasoizs are sufficient wiIl not he decided by City, but by the Office of the Attarney Ge��eral of th� State of Texas o�� by a court of co�npetent ju►•isdictian. 5.4 Uaaauthoa'ized Access. Ve�3dar rtnust sto��e and maintain City �nfot•rnatian in a secuj-e �nanner and will not allow unauthorized users to access, madify, delete or otherwise co�•rupt City Infor�nation in any way. Vei�dor must notify City iirz�mediately i� the secu�'ity o�' i�ateg�'ity of any City Ir►formation has heen co���promised or is believed to have been compro�nised, in which �vent, Vettdor will, in good faith, use all coin�nercially reasonabla efforts to coope�-ate witli City in identifying what infarmation has bee�� accessed by unatttho��ized means and will fu11y cooper•ate with City ta protect s�cl�► City rnformation from fii�-tl►�r unautho��ized disclosu�-e. 6. Right to Audit. Vendor ag�•ees that City will have access dut'ing �oz'maI wo�•ki�g hours to all necessary Vendor faciIities and wilI be provided adeq�iate and appropriate work space in order fio co�zduct a��dits in compliance with the pt'ovisio�as of this sectio�a. City will give Vendor reasona6Ie advance natice of intended audits. '7. �ndependent Confractor. City wi1l be the sole and exclusive owner of afl reports, work papers, procedt�res, guides, and docluiientation that are c�-eated, published, displayed, ar p►•oduced in co��j��netion with the services p�•o�ided unde�� tl�is Ag�'eement (collecti�eiy, "Work Product").
