First Amendment to Professional Services Agreement
THIS AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT("Amendment'),made effective as of June 10,2021,is entered
into by and between Innovative Emergency Management, Inc. ("IEM"or"Vendor"), a corporation organized and existing under the
laws of the State of Louisiana,with its principal place of business at 2801 Slater Road,Suite 200,Morrisville,North Carolina,27560,
and City of Fort Worth,Texas("City"or"Client'),with principal place of business at 200 Texas St,Fort Worth,TX 76102.IEM and the
Client shall individually be referred to as a"Party"and collectively as the"Parties."
WHEREAS,the Parties desire that the Professional Services Agreement,City Secretary No.55711,entered into by and between the
Parties on April 5, 2021, along with any alterations, modifications, or amendments made in writing signed by duly authorized
representatives of both Parties prior to the effective date of this Amendment(collectively,"Agreement')be amended.
NOW,THEREFORE,in consideration of these premises and of the mutual covenants and agreements herein contained,and for other
good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,the Parties hereby agree as follows.
1. Modification of Term.Section 2 of the Agreement,entitled"Term,"is hereby deleted in its entirety and replaced with the following:
2. Term. This Agreement shall commence as of April 9, 2021 and shall continue until July 31, 2021 ("Term"), unless sooner
terminated in accordance with the provisions of this Agreement.The Term may not be altered,modified,or amended, in whole
or in part,except in writing signed by duly authorized Representatives of both Parties.
2. Headings:Construction.The headings in this Amendment are for convenience only and in no way define,limit,or describe the
scope or intent of any provisions or sections of this Amendment.The Parties have negotiated the provisions of this Amendment
and this Amendment shall be deemed to have been drafted by all Parties hereto.
3. Conflict: Completeness.To the extent that any conflict exists between the Agreement and this Amendment, this Amendment
shall govern.All other provisions of the Agreement remain in full force and effect.The Agreement,along with this Amendment,
reflects the complete understanding of the Parties regarding the subject matter hereof, superseding all prior negotiations,
representations,agreements,understandings,and statements regarding the subject matter hereof.
4. Method of Execution.This Amendment may be executed in multiple counterparts, each of which together shall be deemed an
original, but all of which together shall constitute one and the same instrument. In the event that any signature is delivered by
facsimile transmission or by electronic mail delivery of a file in Portable Document Format(PDF),such signature shall create a
valid and binding obligation of the Party executing(or on whose behalf such signature is executed)with the same force and effect
as if such signature page were an original thereof.
IN WITNESS WHEREOF,each Party represents that it has read this entire Amendment,comprising 2 page(s),and agrees to perform
in accordance with the terms and conditions contained herein. Each Signatory to this Amendment warrants by affixing his or her
signature below that he or she is duly authorized to bind the Party whom such Signatory represents.
