FIRST AMENDMENT TO
STANDARD AGREEMENT FOR GENERAL PROFESSIONAL SERVICES
This First Amendment to Standard Agreement for General Professional Services ("First
Amendment") is made between the City of Fort Worth ("City"), a municipal corporation and
IMS Infrastructure Management Services, LLC ("Consultant").
WHEREAS, City and Consultant entered into an Agreement identified as Fort Worth
City Secretary Contract No. 56033 beginning July 16, 2021 (the"Agreement"); and
WHEREAS, it is the collective desire of both City and Consultant to amend the
Agreement to change the term and add renewal periods.
NOW THEREFORE, known by all these present, City and Consultant, acting herein by
the through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. The Agreement is hereby amended by replacing Article III in its entirety with the
following:
The Agreement shall become effective upon the signing of the Agreement by an
Assistant City Manager of the City (the "Effective Date") and shall expire one (1)
year after the Effective Date (the Expiration Date"), unless terminated earlier in
accordance with the provisions of the Agreement City shall have the option, in its
sole discretion, to renew this Agreement under the same terms and conditions, for
up to five (5) one-year renewal options.
2. All other terms, provisions, conditions, covenants and recitals of the Agreement
not expressly amended herein shall remain in full force and effect.
