AMENDMENT NO. 1 AND RENEWAL NO. 2
TO
CITY OF FORT WORTH CONTRACT 52696
This Amendment and Renewal is entered into by and between the City of Fort Worth
(hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and Franklin Covey Sales, Inc. (hereafter "Vendor"). City and
Vendor shall be referred to individually as a Party and collectively as the Parties.
WHEREAS, the Parties previously entered into City Secretary Contract 52696 (the
"Agreement") on August 16, 2019; and
WHEREAS, the Agreement was executed for Vendor to provide a number of City
employees("Passholders")with an All Access Pass to access FranklinCovey Solutions maintained
on the FranklinCovey platform; and
WHEREAS, the Agreement may be renewed at the City's discretion for two one-year
renewal options; and
WHEREAS, City requested a reduction in the number of Passholders under the
Agreement and the Parties now wish to amend the Agreement to update the final net price for year
3 of the Agreement based on this reduction; and
WHEREAS, the Parties also wish to renew the Agreement for the final renewal term,
specifically from August 16, 2021 to August 15, 2022.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:

AMENDMENTS
The table titled "License Information" on page 1 of the "All Access Pass License
Agreement" attached to the Agreement shall be amended and replaced in its entirety with the
following table:

RENEWAL
The term of the Agreement is hereby renewed for an additional year to begin on August 16, 2021
and to expire on August 15, 2022, unless terminated earlier in accordance with the Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as an original.
