MEMORANDUM OF UNDERSTANDING (MOU) This memorandum of understanding is made and entered into this '%2 day of twI;, , 2011, by and between the City of Fort Worth, acting herein by and through its governing body, the City Council, hereinafter referred to as THE CITY and the Texas Department of Transportation hereinafter referred to as TxDOT. I. The CITY and TxDOT desire to cooperate in the re- construction of driveways, driveway drainage structures, and re- grading of the ditch along the west side of FM 156 between US 81/287 and Bonds Ranch Road in the City of Fort Worth, Tarrant County, Texas hereinafter referred to as THE PROJECT. In order to facilitate THE PROJECT. THE CITY and TxDOT agree as follows: I1. TxDOT hereby agrees to provide all labor and equipment necessary for the removal of the existing driveways and cross - drainage pipes, the grading of the ditch lines, the placement of the new cross - drainage pipes, the installation of safety -end treatments at each cross drainage structure, and the construction of the driveway approaches associated with THE PROJECT. The CITY will not be responsible for the payment of such services. III. The CITY agrees to pay for all the material costs required to complete THE PROJECT, including any delivery. The material costs involve concrete cross - drainage pipes, pre -cast concrete safety - end treatments, backfill material, concrete rip rap, re- vegetation, and the driveway surface materials. The cost of these materials is estimated as $35,000.00. TxDOT will not be responsible for any material costs needed to complete THE PROJECT. IV. TxDOT agrees that it will supply all traffic control on FM 156 necessary to complete THE PROJECT. This includes all signage, barricades and flagmen necessary to control traffic on FM 156 for work in the TxDOT right- of -wa\ . V. Upon completion of THE PROJECT, TxDOT agrees to provide the labor and equipment necessary to maintain the drainage ditches. The CITY will not be responsible for any cost associated with this maintenance work. The maintenance of the driveways and ..CyQSs- drainage OFFICIAL REr `'rG CITY SE-CRE­ ,,�y FT. WCRTF"; structures will be turned back to the respective property/business owners as typically stipulated in the driveway permit approval letter. VI. Nothing contained in this MOU is intended by the parties to create a partnership or joint venture between the parties and any implication to the contrary is hereby expressly disavowed. It is understood and agreed that this MOU does not create a joint enterprise, nor does it appoint any party as an agent of any other party, for any purpose whatsoever. By entering into this MOU, the parties do not intend to create any obligations express or implied other than those set out herein; further, this MOU shall not create ,,any ri hts in any party not a signatory hereto. 70 � b aa.
