MEMORANDUM OF UNDERSTANDING BETWEEN T'HE CITY OF WORT WORTH AND FA1 RMOUNT NEIGHBORHOOD ASSOCIATION This Memorandum of Understanding (the "Memorandum") is by and between Fairmount Neighborhood Association ("Committee"), acting by and through Patti Randle, CID Liaison, and Sean Lynch, President and CID Liaison, and the City of Fort Worth ("City"), a Texas home-rule municipal corporation, by and through Fernando Costa, its duly authorized Assistant City Manager. (City and Committee may be referred to herein individually as a"Party,"or collectively as the"Parties.") SECTION 1 Purpose of MO U 1.1. Background. Community ID: Public rl in Neighborhoocis ("CID") is an initiative of Fort Worth Public Art (Lily WPA") through which the City will assist community groups in generating Public art projects that are specific and meaningful to each of the selected neighborhoods. Cornniit.tee was awarded a CID project ("Project") based on the recommendation of the CID Review Panel and the Fort Werth Art Commission. 1,212 Effect and Purpose. This Memorandum does not represent a binding obligation of either of the Parl:ics. Specific approval of the }sort Worth City Council inay, be necessary to implement the Project. This Memorandumn represents the intent of the parties to take necessary steps to implement the Project. The remainder of this Memorandum describes the obligations and responsibilities of each of the parties to effect the implementation of the Project_ SECTION 2 The Pro'ect ,t 2.1 The Site. The location for -the Project shall be Fairmount Park located at 4-341 511' Avenue, Fort Worth, Texas 76104. The specific site shall be determined by the Artist, as hereinafter defined, in consultation with the Corntnittee, and subject to the approval of C.ity's Parks and Community Services Advisory Board, City's Art Commission, and City(collectively, the "Stakeholders"). The site is located in Council District 9. 2.2 The Artist. The artist shal l be Bail Shaw of Fort Worth, 1'exas("Artist"). 2.3 The Artwork. The artwork shall be designed by the Artist with input from the Committee. The final design shall be Subject to review by the City for reasons of safety and security. The final design shall be subject to the approval of the Fort Worth Art Commission ("Artwork"). 2.4 The Budget. The Fort Forth Art Comniission has recommended a total budget amount of up to $50,000, inclusive of design, engineering, materials, fabrication, transportation, installation, site work, lighting, Artist's fee, and contingency, which shall be the City's contribution on this Project pending City Council authorization. (See section 3.2.) Section 3 Citv Responsibilities 3.i. Artist Contract. WORTH, T manager, which is the Arts Council of Fort Worth & Tarrant ['aunty ("Contract Manager") Committee shall not be a party to any contract with Artist for the Project. 3.2. Additional Fundraising. The City and Contract 1~ miager shall not be responsible for raising additional funds for the Project. Should Committee conduct additional fundraising for the Project, Contract.Manager shall provide information about.CID, FWPA,and Artist to the Committee,as available. (See Section 2.4. and Section 4.3.) 3.3. Artwork Maintenance. The Artwork shall become a part of C ity's Public Art collection, and City shall maintain the Artwork in a manner consistent with its policies for the maintenance of items in its Public Art collection. 3.4. Artwork Identification Plaque. FWPA shall provide a standard artwork identification plaque to be instal led at the artwork project site. Section 4 Committee Res onsibilities 4.1. Committee Liaison. Liaison Duties. The Liaison shall coordinate community meetings regarding the project and shall be responsible for relaying Project infon-nation to and from the community and City. 4.3. Additional Fundraising by Committee. Should Committee condLict additional fundraising for the Project,Committee shall coordinate with the Contract Manager with regard to timeline prior to commencing requests for donations. All fundraising must be complete and all funds must be received before Arl.ist commences design. Additionally, when requesting donations, Committee shall request funds on behalf of the Committee, and not on behalf of FWPA,the Arts Council of Fort Worth & Tarrant County, or the City of Fort worth_ All donations to support the Project must be accepted and appropriated by City Council. Donor recognition shall be coordinated with the Contract Manager for inclusion on the plaque with additional expense covered by the Committee. (See Section 2.4. and Section 4.3.) 4.4. Input on Artwork Designs. The Committee shall have the opportunity to review conceptual and final designs of the Artwork,and small be given no more than 30 days to offer any input or comments regarding the designs to Contract Manager. Donors shall not have the authority to approve Artist's design. MOU Fairniount Neighbor-hood Association Page 2 of 4 4.5. Unveiling Ceremony. Committee, at its sole cast and expense, shall plan acid execute a ceremony at which the Artwork is unveiled for viewing by the community. Section 5 Timeline City and Committee agree that the following timeline represents the intention of the parties as to the progress of the Project,and each Party acknowledges that the timeline is subject to delays.
