HomeMy WebLinkAboutContract 50682-R1A1 CSC No.50682-RlA1 FORT WORTH PUBLIC EVENTS DEPARTMENT/WILL ROGERS MEMORIAL CENTER 3401 WEST LANCASTER AVENUE, FORT WORTH, TEXAS 76107 RENEWAL AND AMENDMENT TO CITY SECRETARY CONTRACT#50682 A LICENSE AGREEMENT WITH NATIONAL REINED COW HORSE ASSOCIATION This RENEWAL AND AMENDMENT TO CITY SECRETARY CONTRACT NO. 50682 ("Renewal and Amendment") is made and entered into by and between the City of Fort Worth ("City'), a home-rule municipal corporation, acting herein through its duly authorized representative, and National Reined Cow Horse Association ("Licensee"), acting herein by and through its duly authorized representative. WHEREAS, on April 26, 2018, City and Licensee entered into City Secretary Contract("CSC') No. 50682 for the purpose holding the NRCHA Celebration of Champions at certain facilities in the Will Rogers Memorial Center ("Agreement"); WHEREAS, the primary term of the Agreement is for three years, effective beginning on or about February 13, 2019 and expiring on February 21, 2021; WHEREAS, the Agreement provides that the Licensee has the option to renew this Agreement for the Event for two additional one (1) year periods on the same terms and conditions; WHEREAS, the parties desire to exercise both renewal terms, such that this Agreement will be renewed through 2023; WHEREAS, Licensee also wishes to modify its term, schedule, available facilities and Rental Fee for the 2021 Event; NOW, THEREFORE, City and Licensee for and in good and valuable consideration of the mutual covenants and agreements contained herein, do mutually covenant and agree that the Agreement is hereby amended as follows: I. RENEWAL Licensee and City agree that the Agreement is renewed and extended through February 19, 2023. II. AMENDMENTS 1. Exhibit A, 1) FACILITIES AND RENTAL DATES, Subsection a. is amended for the purpose of adding Cattle Barns 3 and 4 for horse stalls to the list of Facilities available to Licensee at the Will Rogers Memorial Center for the 2021, 2022 and 2023 Events and reads as follows: ,,a) City agrees to license and provide to Licensee the following facilities at the WRMC (collectively, the "Facilities" or "Facility') as needed and available for the Event on the contracted dates listed in section 1.b. i) Will Rogers Coliseum (1) Includes all dressing rooms, office areas and the Backstage Club, if needed ii) Burnett Building (1) Includes all stalls, Vet Clinic, office areas, exercise area and cattle pens OFFICIAL RECORD Renewal and Amendment of CSC 50682 CITY SECRETARY FT.WORTH,TX iii) Richardson-Bass Building (1) Includes John Justin Arena, all stalls and cattle pens,James L.and Eunice West Arena, Brown-Lupton North and South Exhibits Areas, Coburn Room, all available meeting rooms and office areas iv) Charlie and Kit Moncrief Building (1) Includes W.R.Watt Arena, all stalls and exercise arena, all meeting rooms and office areas v) Equestrian Multi-Purpose Building (1) Includes all stalls and arenas if needed VI) The Pavilion with 128' x 250' arena vii) Round Up Inn (included for Hall of Fame Banquet on last Friday of Event) viii) Cattle Barns 2, 3 and 4 (1) Use of these facilities is limited to stall rentals on a per stall basis (2) Cattle Barn 2 will be available no later than the third show day for each of the 2022 and 2023 Events" 2. Exhibit A. 1) FACILITIES AND RENTAL DATES, Subsections b.iii and b.iv.2 and 3 are amended for the purpose of revising the license dates for the 2021, 2022 and 2023 Events and reads as follows: "b) iii) 2021 (1) February 6: Staff move-in to office areas, arenas and commercial exhibit areas only (2) February 7-8: Move in and exercise beginning at 8:00 a.m. (a) Any livestock arriving on show grounds prior to 12:00 p.m., Sunday, February 7, 2021 will be considered early arrivals. (3) February 9-20: Show Dates (4) February 21: Move out must be completed by 12:00 a.m. iv) . . . (2) 2022 (a) February 8: Staff move-in to office areas, arenas and commercial exhibit areas only (b) February 9-10: Move in and exercise beginning at 8:00 a.m. (i) Any livestock arriving on show grounds prior to 12:00 p.m., Wednesday, February 9, 2022 will be considered early arrivals. (c) February 11-21: Show Dates (d) February 22: Move out must be completed by 12:00 a.m. (3) 2023 (a) February 7: Staff move-in to office areas, arenas and commercial exhibit areas only (b) February 8-9: Move in and exercise beginning at 8:00 a.m. (ii) Any livestock arriving on show grounds prior to 12:00 p.m., Wednesday, February 8, 2023 will be considered early arrivals. (c) February 10-20: Show Dates (d) February 21: Move out must be completed by 12:00 a.m." 3. Exhibit A. 1) FACILITIES AND RENTAL DATES, Subsection b) FEES is amended for the purposes of revising that subsection to Subsection c (as there is already another subsection b.) and revising the new Subsection c.i. to change the Rental Fee for the 2021, 2022 and 2023 Events and reads as follows: Renewal and Amendment of CSC 50682 2 of 4 "c) FEES i) Rental Fee. Licensee agrees to pay City an annual flat rental fee of $99,000.00 per Event for the 2019 and 2020 Events, $121,000.00 for the 2021 Event, and $112,000.00 for each of the 2022 and 2023 Events ("Rental Fee"). The Rental Fee shall include the following items: (1) Rental of the Facilities for the dates set forth in Exhibit A, Section 1.b above pursuant to the terms and conditions of this Agreement (2) Up to 700 city-owned stalls in the Facilities. If additional stalls are required, Licensee agrees to pay the rates listed below. (3) Rental and set-up of City-owned tables, chairs, stage risers, panels, 1 roping chute, 2 tractors and implements, and sound equipment (e.g., microphones, mixer, CD player, speakers, spotlight, etc.) as required for the Event. (4) Labor to set and remove the above-listed City-owned equipment, install and remove the white wall around the Will Rogers Memorial Coliseum arena and clean-up following the Event, including any necessary dumpsters. (5) Commercial vendor spaces inside and outside of contracted Facilities.Any use of outside exhibit space must be agreed upon by Licensee and City prior to January 1st in each licensed year. (6) Diesel fuel for City-owned tractors (7) Additional dirt, if required, for a 30' x 50' dirt pad on W.R. Watt Drive adjacent to the entrance to John Justin Arena." 4. All terms in this Renewal and Amendment that are capitalized but not defined have the meanings assigned to them in this Agreement. 5. All terms and conditions of the Agreement that are not expressly amended pursuant to this Renewal and Amendment remain in full force and effect. To the extent that any terms of this Renewal and Amendment conflict with the terms of the Agreement, the terms contained here govern. 6. This Renewal and Amendment may be executed by electronic signature,which will be considered as an original signature for all purposes and have the same force and effect as an original signature. For these purposes, "electronic signature" means electronically scanned and transmitted versions (e.g. via pdf file or facsimile transmission) of an original signature, or signatures electronically inserted via software such as Adobe Sign.
