HomeMy WebLinkAboutContract 53407-R2 CSC No.53407-R2 RENEWAL 2 TO CITY SECRETARY CONTRACT NO. 53407 VENDOR SERVICE AGREEMENT This Renewal is executed by and between the City of Fort Worth (hereafter "City"), a home rule municipal corporation situated in portions of Tarrant,Denton and Wise Counties, Texas, with its principal place of business at 200 Texas Street,Fort Worth, Texas, and TRAF-SYS,INC. (hereafter"Vendor"), a corporation authorized to do business in the State of Texas, located at 190 Industry Drive, Pittsburgh, Pennsylvania. City and Vendor are each individually referred to herein as a"Party" and collectively as the"Parties." WHEREAS, on January 14, 2020, the Parties previously entered into City Secretary Contract 53407(the"Agreement")for Vendor to provide people counting equipment and reporting for all City library locations; and WHEREAS, the Agreement was amended on March 27, 2020 for the purpose of updating City library locations and entry points, specifically by removing two library locations and adding three entry points for a new library location (City Secretary Contract 53407-A1); and WHEREAS, the Agreement was amended on July 6, 2020 to reflect the increase in costs associated with the additional locations added in the first amendment to this Agreement (City Secretary Contract 53407-A2); and WHEREAS, the Agreement was renewed on November 20, 2020 for an additional year and amended to update library locations (City Secretary Contract 53407-R1A3); and WHEREAS, the current term of the Agreement expires on December 31, 2021; and WHEREAS, the Agreement allows for up to five one-year renewals at the sole discretion of the City; and OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX CSC 53407, Renewal 2 Page 1 of 3 WHEREAS, the City and Vendor now wish to renew the term of the Agreement for continued services pursuant to the original Agreement for an additional year, specifically from January 1, 2022 to December 31, 2022. NOW,THEREFORE, City and Vendor acting herein by the through their duly authorized representatives, enter into the following agreement to renew the contract: 1. The term of the Agreement is hereby renewed for an additional year and will expire December 31, 2022, unless terminated earlier in accordance with the Agreement. 2. All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. 3. This Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
