THIRD AMENDMENT AND FOURTH RENEWAL
TO FORT WORTH CITY SECRETARY
CONTRACT NO. 49751
This THIRD AMENDMENT AND RENEWAL is made and entered into by and
between the City of Fort Worth, a home-rule municipal corporation of the State of Texas
("City"), acting herein by and through Jesus J. Chapa, its duly authorized Deputy City Manager,
and MdE, Inc, a Maryland Corporation ("Consultant), acting by and through Lisa Reaver, its
duly authorized President and CEO, each individually referred to as a "Party" and collectively
referred to as the"Parties".
WHEREAS, City and Consultant previously entered into an agreement for Consultant to
provide technical support and program updates for ADORE software and provide one day on-site
training for the City of Fort Worth (City) Police Department (FWPD) on an as-needed basis, the
same being Fort Worth City Secretary Contract No. 49751 (the"Agreement"), effective October
1,2017; and
WHEREAS, under the terms of the Agreement, services began October 1, 2017
("Effective Date") and expired on September 30, 2018 ("Expiration Date"), with three (3) one-
year renewal options (each a"Renewal Term"); and
WHEREAS, the Agreement was most recently amended May 23, 2021, to reflect
changes to "Section 3. Compensation," "Exhibit A — Scope of Service" and `Exhibit B —
Payment Schedule"; and
WHEREAS, the Parties mutually wish to amend the Agreement to add four (4)
additional one-year renewal options (each a "Renewal Term") for the maintenance and support
services portion of the Agreement and renew the Agreement for its fourth renewal term.
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives,enter into the following to amend the Agreement:

AMENDMENTS TO AGREEMENT
A. It is the parties' intent, for the purposes of this Amendment,to replace "Section 2.
TERM.," in the Agreement with the following:
2. TERM.
This Agreement shall commence upon October 1, 2017 ("Effective Date") and
shall expire on September 30, 2018,unless terminated earlier in accordance with
the provisions of this Agreement. The Agreement may be renewed for up to
seven (7) additional one-year period by mutual written agreement of the parties.

RENEWAL
Pursuant to the terms of the Agreement, and this Amendment,the parties hereby agree to renew
the Agreement for an addition one-year term effective immediately upon the termination of the
latest term of the Agreement and expiring one year thereafter.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile
copy or computer image, such as a PDIi or tiff image, or a signature, shall be treated as and
shall have the same effect as anoriginal.
