FIRST" AMENDMENT AND RENEWAL OF CITY SECRETARY CONTRACT. No. 42326
PROFESSIONAL SERVICES AGREEMENT
THIS FIRST .AMENDMENT AND RENEWAL OF CITY SECRETARY CONTRACT
NO.. 42326 PROFESSIONAL SERVICES AGREEMENT ("First Amendment") is made and
entered into by and between THE CITY OF FORT WORTH, a home-rUlc municipal.
corporation of the State of Texas (''City"),,),, actin by and through its duly authorized Assistant
City Manager, and LEWIS F. MCL AIN, JR. ("Consultant" or "UM"), an individual.
WHEREAS, the City and C TYBAS E.N T', INC. catered into a Professional Services
Agreement for services related to sales tax analysis and reporting, the sarrc being City Secretary
Contract No. 42326 ("Contract"); and
WHEREAS,, the City consented to, the assignment of the Contract from
C ITYBAS .NET, INC. to the Consultant; and
WHEREAS, the Contract has an effective date of March 9, 2010 with a one-year initial
term, one automatic on-year renewal, and one one-year,optional renewal and
HE A S,, the Automatic Renewal Term expires March 8, 2012; and
WHEREAS, City and Consultant wish to exercise the optional one-year renewal and to
amend the Contract to provide a second one-year renewal option.
NOW, THEREFORE, City and Consultant agree as follows

Section 2, "Term," of City Secretary Contract 42326 is hereby deleted in its entirety and
re laced with a new Section 2, "Term,"' to read as follows:
This Agreement shall be effective as of March 9, 2010 ("Effective Date and

accordance with the provisions, of this Agreement., Following expiration of the
Initial Ter n, this Agreement shall automatically renew for an additional one-year
term ("Automatic Renewal Term"), unless terminated earlier in accordance with
the provisions of this Agreement. Following the Automatic Renewal Term, the
City shall have the option to renew this Agreement for two additional oIne-year
periods (each an "Optional Renewal Term") under the same terms and conditions.

City and Consultant hereby agree to renew and extend Fort Worth City Secretary Contract
No., 42326, as amended herein, for a first Optional Renewal Term of one (1) year, beginning on
March 91, 201 12. and ending March 8, 20 1 3.
3.
All other provisions of City Secretary Contract 42326 that are not expressly an
herein shall remain in full force and effect.
