52048,A NON-EXCLUSIVE MOWING AND GROUNDS MAINTENANCE SERVICES
AGREEMENT BETWEEN THE CITY OF FORT WORTH AND CIVILIAN DIVISION LLC
DBA GI-MOW
This THIRD RENEWAL AND FIRST AMENDMENT OF CITY SECRETARY
CONTRACT NUMBER 52048 ("Third Renewal and First Amendment") is made and entered into by
and between the CITY OF FORT WORTH ("City"), a home-rule municipal corporation of the State of
Texas, acting by and through its duly authorized Assistant City Manager, and CIVILIAN DIVISION
LLC DBA GI-MOW ("Contractor"), a Texas limited liability company, acting by and through its duly
authorized representative.
WHEREAS, the City and Contractor entered into a non-exclusive mowing and grounds
maintenance services agreement, the same being Fort Worth City Secretary Contract ("CSC") Number
52048;
WHEREAS,the primary term of the Agreement included a one-year term from March 5,2019 to
March 4,2020,along with four(4)additional one-year renewal options;
WHEREAS, the parties renewed and extended the Agreement for a portion of the first one-year
renewal term, for a period beginning on March 5, 2020 and ending on November 30, 2020, the same
being CSC No. 52048;
WHEREAS, the City and Contractor exercised the Second Renewal Option, which expired on
November 30, 2021, the same being CSC No. 52048-R2 (CSC Nos. 52048, 52048-R1, and 52048-R2 are
collectively referred to as the "Agreement");
WHEREAS, the parties desire to exercise a one-year renewal option, effective beginning on
December 1,2021 and ending on November 30,2022;
WHEREAS, the parties further desire to increase the aggregate amount of the Agreement from
$268,407.00 to $335,508.75;
WHEREAS, the Agreement provides for on-call mowing services on either an individual or
recurring basis at pricing equivalent to comparable;
WHEREAS, the Contractor desires to provide certain on-call mowing services for the City in
accordance with the terms of the Agreement and this Third Renewal and First Amendment; and
NOW, THEREFORE, the City and Contractor agree to renew and extend the Agreement for as
follows:
I.
The City and Contractor agree to renew and extend the Agreement for a one-year period,
effective beginning on December 1,2021 and ending on November 30,2022.
II.
Contractor will provide on-call mowing services in accordance with the terms of this Agreement
and Exhibit B-1, which is attached hereto and incorporated herein for all purposes. All provisions of

related to on-call mowing in the Agreement, including, but not limited to, the non-exclusivity of the on-
call mowing projects,remain in full force and effect.
III.
Section 2.2, "SCOPE OF WORK", of the Agreement is revised to increase the aggregate amount
of the Agreement from$268,407.00 to $335,508.75 and is amended to read as follows:
"2.2 Contractor understands and agrees that the City will award non-exclusive
purchase agreements to multiple bidders for mowing and grounds maintenance
services as outlined in City of Fort Worth Bid Solicitation (ITB/RFP No. 19-
0032),which is attached to the Agreement as Exhibit B, and incorporated herein
for all purposes. Contractor further understands that the aggregate amount of all
contracts awarded to multiple contractors under(ITB/RFP No. 19-0032) is in the
amount of$335,508.75, and the City makes no promise or guarantee of the total
amount of work that will be assigned to Contractor under this Agreement.

("Contractor's Response") is attached to the Agreement as Exhibit C, and
incorporated herein for all purposes."
IV.
1. All other terms and conditions of the Agreement remain in full force and effect except as
specifically set forth in this Third Renewal and First Amendment.
2. All terms of this Third Renewal and First Amendment that are capitalized but not defined
have the meanings assigned to them in the Agreement.

IN WITNESS WHEREOF,the City and Contractor have executed this Third Renewal and First
Amendment to be effective on December 1,2021.
