RECITAL WHEREAS, on May 27, 2021 and May 28, 2021, Subrecipient and Department, respectively, executed that certain CDBG-CV TEMAP Contract No. 70300001006 by and between the Department and Subrecipient dated to be effective on June 15, 2021 ("Contract"); and WHEREAS, on July 23, 2021 and July 23, 2021, Subrecipient and Department, respectively, executed that certain First Amendment to CDBG-CV TEMAP Contract No. 70300001006 ("First Amendment")to be effective on June 15, 2021; and WHEREAS, on August 20, 2021 and August 20,2021, Subrecipient and Department, respectively, executed that certain Second Amendment to CDBG-CV TEMAP No. 70300001006 ("Second Amendment")to be effective on June 15, 2021; and WHEREAS, on December 9, 2021 and December 9, 2021, Subrecipient and Department, respectively, executed that certain Second Amendment to CDBG-CV TEMAP No. 70300001006 ("Third Amendment")to be effective on June 15, 2021; and WHEREAS, in accordance with Section 11 of the Contract, the Department has authority to amend the Contract accordingly; and WHEREAS, Subrecipient and Department desire to amend the Contract in the manner provided herein below. AGREEMENTS NOW THEREFORE, for valuable consideration, the receipt and sufficiency of which are hereby acknowledged,the parties agree as follows: 1. Each capitalized term not expressly defined herein shall have the meaning given to such term in the Contract. 4. All of the remaining terms and provisions of the Contract shall be and remain in full force and effect. If the terms of this Fourth Amendment and the terms of the Contract as amended by the Third Amendment are in conflict,then this Fourth Amendment shall control unless it would make the Contract void by law. 5. This Fourth Amendment shall be binding upon the parties hereto and their respective successors and assigns. 6. This Fourth Amendment may be executed in several counterparts, each of which shall be deemed to be an original copy, and all of which together shall constitute one agreement binding on all parties hereto, notwithstanding that all the parties shall not have signed the same counterpart. 7. If a party returns this copy by facsimile machine,the signing party intends the copy of its authorized signature printed by the receiving machine to be its original signature. 8. By signing this Fourth Amendment, the parties hereto expressly understand and agree that the terms shall become part of the Contract as if they were set forth word for word therein.
