FIRST RENEWAL AND AMENDMENT TO CITY SECRETARY CONTRACT NO. 56251
A COOPERATIVE PURCHASE AGREEMENT
This FIRST RENEWAL AND AMENDMENT TO CITY SECRETARY CONTRACT NO. 56251 (`First
Renewal and Amendment") is made and entered into by and between the City of Fort Worth (`City"), a home-
rule municipal corporation, acting herein through its duly authorized Assistant City Manager, and Southwest
Texas Equipment Distributors, Inc., d/b/a Mission Restaurant Supply Company ("Vendor"), acting herein by
and through its duly authorized representative.
WHEREAS, City and Vendor are current parties to a Cooperative Purchase Agreement under
BuyBoard Cooperative Agreement No. 598-19 ("Co-op") for the purchase of(i) new appliances and (2) parts
to repair existing appliances, the same being recorded with the City Secretary as City Secretary Contract
Number. 56251 (`Agreement");
WHEREAS, the initial term of the Agreement began on August 16, 2021 and expired on November
30, 2021;
WHEREAS, the Agreement allows for one-year renewal options upon mutual written agreement of the
City and Vendor;
WHEREAS, the term of the Co-op is from December 1, 2021 to November 30, 2022, with no renewal
options remaining;
WHEREAS, the City and Vendor desire to renew the Agreement, effective beginning on December 1,
2021 and expiring on November 30, 2022 to coincide with the term of the Co-op;
WHEREAS, the City and Vendor also desire to increase the amount of the Agreement by$400,000.00
for a total amount of$500,000.00; and
NOW, THEREFORE, City and Vendor for and in good and valuable consideration of the mutual
covenants and agreements contained herein, do mutually covenant and agree that the Agreement is hereby
renewed and amended as follows:
I.
RENEWAL
Vendor and City agree to renew the Agreement for one year, effective beginning on December 1,
2021 and expiring on November 30, 2022.
II.
AMENDMENT
Vendor and City agree to amend the Agreement to increase the total payable amount by Four Hundred
Thousand Dollars and Zero Cents ($400,000.00), for a total not to exceed amount of Five Hundred Thousand
Dollars and Zero Cents ($500,000.00).
III.
MISCELLANEOUS
1.
All terms in this First Renewal and Amendment that are capitalized but not defined have the meanings
assigned to them in Agreement.

All terms and conditions of the Agreement that are not expressly amended pursuant to this First
Renewal and Amendment remain in full force and effect. To the extent that any terms of this First Renewal
and Amendment conflict with the terms of the Agreement, the terms contained here govern.

This First Renewal and Amendment may be executed in several counterparts, each of which will be
deemed an original, but all of which together will constitute one and the same instrument. A signature received
via facsimile or electronically via email shall be as legally binding for all purposes as an original signature.
IN WITNESS WHEREOF,the parties hereto have executed this First Renewal and Amendment in Fort
Worth, Tarrant County, Texas.
