Home My WebLink AboutContract 55310-A1R1 CSC No.55310-AlR1 AMENDMENT NO. 1 AND RENEWAL NO. 1 TO CITY SECRETARY CONTRACT NO. 55310 SUPPLEMENTAL PROGRAMMING AGREEMENT This Amendment and Renewal is executed by and between the City of Fort Worth (hereafter "City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas,with its principal place of business at 200 Texas Street,Fort Worth, Texas, and AARP Foundation (hereafter "Provider"), an accredited charity, are each individually referred to herein as a"Party" and collectively as the "Parties." WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract No. 55310 (the "Agreement"); and WHEREAS, the Agreement was executed for Provider to provide the City with tax preparation services to assist patrons of the Fort Worth Public Library; and WHEREAS,the original term of the Agreement expires on February 14, 2022; and WHEREAS,the Agreement allows for up to four one-year renewals at the sole discretion of the City; and WHEREAS, the City and Provider now wish to renew the term of the Agreement for continued services pursuant to the original Agreement for an additional year, specifically from February 15, 2022 to February 14, 2023; and WHEREAS, the Parties wish to add an amendment to the Agreement for the purpose of updating the Provider's Duties and Responsibilities, location, program, and schedule for the renewal year and also for the purpose of deleting Section 9 of the Agreement(Permission to Use Photographs &Videos or Films). WORTH, TX CSC 55310, Amendment 1/Renewal 1 Page 1 of 5 NOW, THEREFORE, City and Provider acting herein by the through their duly authorized representatives, enter into the following agreement to renew the contract: 1. AMENDMENTS TO AGREEMENT The following terms are hereby amended to replace the referenced terms in the Agreement and shall be binding and enforceable as if they were originally included therein. A. Section 1. LOCATION, PROGRAM, AND SCHEDULE. is hereby amended and replaced in its entirety with the following: 1.1 Provider shall provide programs and services ("Program") as more particularly described in the attached Exhibit"A" at the times and City of Fort Worth Library locations("Library") as approved in writing in advance by the Department. 1.2 Additional times and locations may be added by written mutual agreement of the Parties and any such additional services shall be subject to the terms and conditions of this Agreement as though the services were included on Exhibit A at the time of execution. The dates and locations for the Service Period of February 15, 2022 to February 14, 2023 is incorporated as Exhibit A-1. B. Section 5. PROVIDER'S DUTIES AND RESPONSIBILITIES. is hereby amended and replaced in its entirety with the following: 5.1 In addition to any other duties and responsibilities set forth in this Agreement, Provider shall: 5.1.1 Be liable and responsible for the supervision of all of its Program Participants. 5.1.2 In the event that Provider will be unable to appear for a given date, Provider shall be required to provide a minimum of 48 hours' notice to City whenever it is possible to do so. 5.2 In addition to any other duties and responsibilities set forth in this Agreement,City shall: 5.2.1 Provide staff to lock and unlock the Library and arm and disarm any security system. 5.2.2 Ensure that a City staff is present in the Library at all times during the Program. 5.3 Provider shall demonstrate a high level of professionalism at all times. Provider's conduct should be above reproach in all dealings with the community,participants,and staff. Provider shall not engage in any conduct that may threaten,intimidate,disparage,bully,verbally abuse,harass or assault the City, City employees, program participants or any other person. The City shall be the sole judge of Provider's compliance with this section. CSC 55310, Amendment 1/Renewal 1 Page 2 of 5 5.4 Provider shall not take,use,or disseminate any photograph of any program participant for any purpose,including promotional materials,unless provider has first obtained written permission from the adult program participant. 5.5 Provider shall remove all equipment and supplies after the scheduled list of programs. C. Section 9. PERMISSION TO USE PHOTOGRAPHS & VIDEOS OR FILMS. Is hereby deleted in its entirety. D. The attached "Location, Program, And Schedule For 2022" for the Service Period of February 15, 2022 to February 14, 2023 is now added and incorporated as Exhibit A-1. 2. RENEWAL OF AGREEMENT The term of the Agreement is hereby renewed for an additional year and will expire February 14, 2023,unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument.A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
