FIRST AMENDMENT TO AND SECOND RENEWAL OF
VENDOR SERVICES AGREEMENT
FORT WORTH CITY SECRETARY CONTRACT NO. 53123
This First Amendment to and Second Renewal of the VENDOR SERVICES
AGREEMENT ("Amendment and Renewal"), Fort Worth City Secretary Contract No. 53123,
between the CITY OF FORT WORTH ("City"), a Texas home rule municipal corporation and
METROPLEX MARBLE ("Vendor"), a Texas Corporation, each individually referred to as a
"party" and collectively referred to as the "parties."
WHEREAS City,through its Property Management Department, and Vendor entered into
an agreement for marble fabrication and installation services, said agreement being identified as
Fort Worth City Secretary Contract No. 53123 and having an effective date of November 25, 2019
(the "Agreement"); and
WHEREAS the term of the Agreement was renewed through December 1, 2021 (Fort
Worth City Secretary Contract No. 53123-R1); and
WHEREAS City and Vendor desire to renew the Agreement through December 1, 2022;
and
WHEREAS City and Vendor also desire to amend the Agreement to allow for an increase
to the line item unit pricing included in the Agreement's price schedule; and
NOW THEREFORE, City and Vendor, acting herein by and through their duly
authorized representatives, agree to the following terms:
1. Renewal. The City hereby exercises its second of four options to renew the Agreement for
an additional one (1) year term which will expire on December 1, 2022. Since December 1, 2021,
the parties have continued to operate under the terms and conditions of the Agreement as if it were
in full force and effect.
2. Amendment of Price Schedule. Exhibit B — Price Schedule attached to the Agreement is
replaced and superseded by Exhibit B—Price Schedule attached to this Amendment and Renewal.
3. All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
