AMENDMENT AND EXTENSION OF COVID-19 VACCINATION SITE LICENSE
AGREEMENT
BETWEEN THE CITY OF FORT WORTH
AND TOWN CENTER MALL
THIS AMENDMENT AND EXTENSION TO COVID-19 VACCINATION SITE LICENSE
AGREEMENT ("Extension")is made and entered into by and between the CITY OF FORT WORTH,
a home rule municipal corporation of the State of Texas ("Licensee" or "Ciil ") and TOWN CENTER
MALL L.P.,a limited partnership,("Licensor').
WHEREAS,Licensor is the owner of certain property located at 4200 South Freeway, Suite 2500,
Fort Worth,TX 76115;and
WHEREAS,in order to continue responding to the COVID-19 pandemic and its impacts,the City
requires additional outdoor and indoor space to install and operate temporary"pop-up"COVID-19 testing,
vaccination,and staging or support sites throughout the City; and
WHEREAS,in support of the City's mission to protect the health and safety of the ctizens of Fort
Worth and the surrounding area and to minimize the impacts of COVID-19, Licensor and City previously
entered into a COVID-19 Vaccination Site License Agreement dated May 10, 2021, (City Secretary
Contract No. 55774)(the"Agreement")with a Term expiring on September 30,2021;and
WHEREAS the Agreement allows the Term to be extended by the mutual written agreement of
the parties and City and Licensee wish to extend the Agreement through June 30,2022;and
WHEREAS City and Licensee also wish to update the schedule for the City's use of the Premises
and to provide that the Premises includes both parking lot space and Suite 1710.
NOW, THEREFORE, in consideration of the covenants and agreements contained in the
Agreement,Licensor and Licensee hereby agree as follows:
1. Term
Since September 30, 2021, the City and Licensee have operated as if the Agreement were in full
force and effect. Unless terminated earlier pursuant to the terms of the Agreement, the initial term of the
Agreement shall be extended through June 30,2022.
2. Premises
City and Licensee hereby agree that Suite 1710 shall be included in the Agreement's definition of
the Premises.
3. Schedule
Exhibit"B"included in the Agreement is replaced with the Exhibit`B"attached to this Extension.
4.
All other provisions of the Agreement shall remain in full force and effect.
