FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO.56871
This Amendment is entered into by and between the City of Fort Worth (hereafter
"City"), a Texas home rule municipal corporation, acting by and through its duly authorized Assistant
City Manager, and National Security & Protective Service, Inc. (hereafter "Vendor"), a Texas
Corporation, acting by and through its duly authorized Representative, each individually referred to
as a "party" and collectively referred to as the "parties."
WHEREAS, the parties have previously entered into a City of Fort Worth City Secretary
Contract No. 56871 (the "Contract"), which was executed on December 17, 2021 effective
as of effective as of December 15, 2021; and
WHEREAS,the Contract is for the purpose of security guard services for the City;
WHEREAS,the City and Vendor now wish to amend the Contract to accurately reflect the
Security Guard services needed by the City;
NOW, THEREFORE, City and Vendor acting herein by the through their duly authorized
representatives, enter into the following agreement to amend Exhibit A and B of the Contract as
follows:

Exhibit A, Section 3.2 CODE COMPLIANCE,subsection 3.2.3.2 is amended to read as follows:
"3.2.3.2. One officer will be needed per overnight shift for this Department at this
location."
"3.2.3.3 The security guards will need to be armed and unarmed. The Solid Waste
division will be the sole decider in whether or not the guard hired needs to be
armed."

Exhibit A, Section 3.3 PUBLIC EVENTS is amended as follows:
Subsection 3.3.3 is amended to read as follows:
"3.3.3 Six unarmed security guards will be needed for this Department.One will be
needed for shift 1, two guards will be needed for shift 2, and threeguards will be
needed for shift 3."
A new subsection 3.3.11 is added and shall read as follows:
"Notwithstanding anything to the contrary,during the period of time the Will Rogers Memorial
Center is leased to and used by the Fort Worth Stock Show and Rodeo, all WRMC Service
rights will be granted to the Stock Show. The Stock Show will have full authority to enter into
contracts with other vendors for various goods and services during its lease of the WRMC. No
security guard services will be required at the WRMC during this time."

Exhibit A, Section 3.4 WATER is amended as follows:
Subsection 3.5.5.0 and 3.5.8.0 are deleted from the agreement.
Subsection 3.5.16 is renumbered as 3.5.5.

Exhibit B is amended as follows:
"Exhibit B
Payment Schedule
Armed Security Guard $22.87 an hour
Unarmed Security Guard $19.98 an hour
Vendor supplied security guards will clock in and out for work to ensure their
billable time is appropriately tracked. Security guards will be required to keep
their phones with them at all times to ensure their locationmay be appropriately
tracked with GPS to ensure they remain at the appropriate locations in
accordance with their clock in and out entries, as scheduled and required by the
Agreement.
Vendor will submit invoices to the City as often as every two weeks, but no less often
than every month.Each submitted invoice must include the date of submittal, vendor
contact information, and security guardtotal billable hours for the appropriate time
period indicated on the invoice. City will have 30 days to submit payment from receipt
of an appropriately completed invoice. Should the City dispute an invoice, or should
either party discover that a submitted invoice is inaccurate or otherwise incomplete, the
Vendorwill be required to correct the invoice within 30 days of notification by the City
or from discovery by Vendor of the error. The City will have 30 days to submit payment
from receipt of the corrected invoice."
6.
All other provisions of the Contract which are not expressly amended herein shall remain in
full force and effect.
