Amendment No.2 To Maintenance Agreement

This Amendment No. 2("Amendment")to that certain Maintenance Agreement(City Secretary No.
49230,June 26,2017) ("Agreement")is made by and between the City of Fort Worth("City"),a Texas
home-rule municipal corporation having its principal office at 200 Texas,Fort Worth,Texas, and
RIOTECH(formerly CTC Inc.),a Texas corporation,having its principal office at 9601 Camp Bowie
West Boulevard,Fort Worth,Texas("RIOTECH").
On February 2,2005,the City entered into an agreement with the Fort Worth and Western
Railroad Company("Railroad")for the installation and maintenance of an at-grade crossing, including
warning signal devices,at Museum Way and to install and maintain warning signal devices at the West 71
Crossing. The City has contracted with RIOTECH(formerly CTC Inc.)to perform said maintenance.
On October 4,2013,the City entered into a Compromise Settlement Agreement For TRV Bridges
(City Secretary No. 44950)with the Railroad whereby the City agreed to install and maintain temporary
railroad crossings at Henderson Street and N. Commerce Street("Temporary Crossings")to allow for
construction of bridges as part of the Trinity River Vision Central City Project.
On September 18,2018,the City and RIOTECH amended the Agreement to provide for
maintenance at the temporary at-grade crossings at Henderson Street and N. Commerce Street(City
Secretary No. 49230-A1).
City now desires to amend its Agreement with RIOTECH to provide for additional scope and
costs for the removal of the Temporary Crossing railroad safety/signal equipment previously installed
and maintained at Henderson Street and N. Commerce Street.

Services to be provided by Contractor
In addition to those services in the Agreement,which shall not be affected by this Amendment,
RIOTECH agrees to remove the temporary at-grade crossing railroad safety/signal equipment at
Henderson Street and N. Commerce Street,including highway-rail grade crossing warning systems in the
same manner and with the same duties and standard of care as described in the Agreement. RIOTECH's
scope of work shall be in accordance with Attachment A—Scope of Work("Scope of Work"),attached
hereto and incorporated herein.
2.
Payment To Contractor
RIOTECH agrees to complete the Scope of Work for the Lump Sum Fee of$27,000.00,as
quoted in Attachment B—Compensation,attached hereto and incorporated herein.
3.
No Changes to Original
This Amendment makes no changes to sections 3,4, or 5 of the Agreement,which terms shall
remain in full force and effect with regard to the tasks,duties and responsibilities of the parties pursuant

to this Amendment. In addition to the specific,there are no changes to any general sections of the
Agreement except that the Notice provision in Section 5 of Amendment 1 shall survive.
4.
Term
This Amendment shall be governed by the term found in Section 6 of the Agreement and the
responsibilities and obligations of RIOTECH under Amendments 1 and 2 shall,necessarily,terminate
when the work outlined in the Scope of Services is completed and the at grade railroad crossings on
Henderson Street and N. Commerce Street are fully decommissioned.

RI OTECH Attachment A - Scope of Work

Removal of crossing related equipment at both the Henderson St. and Commerce St.
crossings, Fort Worth, TX.
Construction Plan / Scope of work
This scope of work covers the removal of the entirety of signal related crossing equipment (bungalow,
signals, foundations, underground cable, and termination shunts) at both crossings, but DOES NOT
cover any roadway (pavement, sidewalk, etc.) or track (crossing panels, ties, etc.) components.
1. Coordinate railroad flagging with the Fort Worth and Western Railroad.
2. Coordinate with RR and CDL for recalibration of any overlapping crossings.
3. Secure all internal components and remove crossing bungalow.
4. Remove all crossing related cabling and grounding to bungalow.
5. Deconstruct any elevated pad or walkway to bungalow and level to current grade.
6. Secure and remove both crossing signals.
7. Remove signal foundations and all underground cabling.
8. Deconstruct any elevated pad or walkway to signals and level to current grade.
9. Remove crossing termination shunts from track and replace track ballast at each location.
10. Deliver all removed material and equipment to pre-determined location.
11. Coordinate inspection upon completion with City and Railroad representatives for final
acceptance.
