FIRST AMENDMENT AND FIRST RENEWAL
TO
CITY OF FORT WORTH CONTRACT 55408
BETWEEN CITY OF FORT WORTH AND
MIDWEST VETERINARY SUPPLY INC.
This First Renewal and First Amendment Agreement(the "Agreement") is entered
into by and between the City of Fort Worth(hereafter"City"), a Texas home rule municipality,
with its principal place of business at 200 Texas Street, Fort Worth, Texas, and Midwest
Veterinary Supply Inc. ("Vendor"), a corporation and acting by and through its duly authorized
representative,Ali Davis, each individually referred to as a"party" and collectively referred to as
the "parties."
WHEREAS, on March 12, 2021,the Parties entered into City Secretary Contract 55408
for the Vendor to provide turnkey digital radiography solution for veterinary use, including table,
generator, detector plates, workstation, capture software and storage solution, installation,
maintenance, warranty and training to the City(the "Original Agreement");
WHEREAS, the Parties wish to amend the Original Agreement due to the increase in
the price of goods and services provided under the Original Agreement; and
WHEREAS,the Parties agree to renew and amend the Original Agreement for a one (1)
year renewal term and to increase the total payment made under the Original Agreement for the
entire term in an amount not to exceed One Hundred Twenty Four Thousand Five Hundred Sixty
Four Dollars and No Cents ($124,564.00).
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:

RENEWAL OF ORIGINAL AGREEMENT
The Original Agreement, as amended herein, is hereby renewed and extended for a renewal
term commencing on March 12, 2022 and ending on March 11, 2023.

AMENDMENTS
1. The Original Agreement is hereby amended by deleting the language, in its
entirety, in Section 3 of the Original Agreement, titled Compensation, and replacing it with the
following language:
3. Compensation. City will pay Vendor in accordance with the provisions of
this Agreement, including Exhibit `B", which is attached hereto and incorporated herein
for all purposes. Total compensation under this Agreement will not exceed One Hundred
Twenty Four Thousand Five Hundred Sixty Four Dollars and No Cents($124,564.00).

Vendor will not perform any additional services or bill for expenses incurred for City not
specified by this Agreement unless City requests and approves in writing the additional
costs for such services. City will not be liable for any additional expenses of Vendor not
specified by this Agreement unless City first approves such expenses in writing.
2. The Original Agreement is hereby amended by replacing Exhibit B of the Original
Agreement with the Exhibit B attached to this Amendment.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Original Agreement which are not expressly amended herein
shall remain in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as an original.
