RENEWAL OF FORT WORTH
CITY SECRETARY CONTRACT NO. 52368 - CASEWARE END USER LICENSE
AGREEMENT
This RENEWAL OF FORT WORTH CITY SECRETARY CONTRACT NO. 52368
- CASEWARE END USER LICENSE ("Renewal") is made and entered into by and between
the City of Fort Worth, a home-rule municipal corporation of the State of Texas ("Licensee" or
"City"), acting herein by and through its duly authorized Assistant City Manager, and CaseWare
International Inc. ("CWI" or "Seller"), a Canadian corporation, acting herein by and through its
duly authorized Chief Financial Officer. The City and Seller are individually referred to as a
"party" and collectively referred to as the "parties."
WHEREAS, City and Seller entered in to an End User License Agreement as modified
by a signed Addendum to End User License Agreement for certain CaseWare software, the same
being Fort Worth City Secretary Contract No. 52368 (the "Agreement");
WHEREAS, the Agreement provides for a one-year initial tern with options for up to
four, one-year renewal terms;
WHEREAS, the parties previously renewed the agreement for three additional years
pursuant to the one-year term provided by renewal number one and a two-year term provided by
renewal number two;
WHEREAS, the parties wish to renew the Agreement under the same terms and
conditions for its third, and final, renewal term to end May 31, 2023.
NOW, THEREFORE, the City of Fort Worth and CWI do mutually covenant and agree as
follows:
1.
Licensee and CWI hereby agree to renew and extend Fort Worth City Secretary Contract
52368 for a Renewal Term encompassing a one-year period beginning on June 1, 2022,
and ending May 31, 2023.

All terms and provisions of City Secretary Contract 52368 shall remain in full force and
effect throughout the Renewal Term unless specifically amended herein.
3.
This Renewal may be executed in one or more counterparts, each of which when so
executed and delivered shall be considered an original, but such counterparts shall
together constitute one and the same instrument and agreement. Any signature delivered
by a parry by facsimile or other electronic transmission (including email transmission of a
portable document file (pdf) or similar image) shall be deemed to be an original signature
hereto.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement in multiples this
