FOURTH RENEWAL TO CITY SECRETARY CONTRACT NO. 50787
AGREEMENT TO SELL,DELIVER,AND MAINTAIN
RECYCLING AND GARBAGE CARTS
This Fourth (4") Renewal is executed by and between the City of Fort Worth (hereafter
"City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise
Counties, Texas, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and
Toter, LLC (hereafter "Toter"), a North Carolina Limited Liability Company acting by and
through its duly authorized representative, each individually reffered to as a "party" and
collectively referred to as the"parties."
WHEREAS, the parties have previously entered into an Agreement identified as City of
Fort Worth City Secretary Contract No. 50787 on or about May 24, 2018 (the "Agreement"); and
WHEREAS,the purpose of the Agreement is for the sale, deliver, and maintenance of
recycling and garbage carts to the City; and
WHEREAS, the term of the Agreement is for one (1) year beginning May 1, 2018 with
four(4) one-year renewal options; and
WHEREAS, the parties executed the First renewal on May 10, 2019; and
WHEREAS, the parties executed the Second Renewal on May 1, 2020; and
WHEREAS, the parties have continued operating under the same terms and conditions
and intended to renew the Contract for a Third and Fourth Renewal; and
WHEREAS, the Contract allows for renewals so long as the Parties agree to renew the
Contract; and
WHEREAS, the City and Toter now wish to memorialize their agreement to renew the
term of the Contract for continued services pursuant to the original Contract for an additional year,
specifically from May 1, 2022 to April 30, 2023.
NOW,THEREFORE, for and in consideration of the mutual covenants contained herein,
and other good and valuable consideration, City and Toter acting herein by the through their duly
authorized representatives, enter into the following agreement to renew the contract:

RENEWAL
The term of the Contract is hereby renewed for an additional year beginning on May 1,
2022 and will expire April 31, 2023,unless terminated earlier in accordance with the Agreement.

II.
OTHER TERMS AND CONDITIONS
All other terms and conditions of the Agreement which are not expressly amended herein
shall remain in full force and effect.
III.
ELECTRONIC SIGNATURE
This Renewal may be executed in multiple counterparts, each of which shall be an
original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as anoriginal.

IN WITNESS WHEREOF,the parties hereto have executed this Agreement on the date the Assistant City
Mangers signs this Agreement.
