("Journal") entered into a contract commencing on March 2, 2015, which is known as City Secretary Contract No. 46477 (the "Agreement"). Under the Agreement, Journal agreed to provide the City with hosting services; however, the City has made a business decision to move the hosting services associated with the Agreement in-house. Section 4.1 of the Agreement allows the City to terminate the hosting services provided under the Agreement by providing Journal with a 90 day notice. Additionally, the City requests that Journal work with the City as outlined in Section 4.5 of the Agreement — Services Disentanglement to transition hosting services. The City acknowledges that the level of disentanglement may be different due to this change occurring prior to full implementation of the eCourt case management system, and the City and Journal are committed to work together as may be necessary to ensure a smooth transition. Please note that all payments will continue to be processed pursuant to the terms of the Agreement, and any outstanding invoices related to the terminated services need to be submitted to the City for payment within 30 days of the hosting service's termination date.
