FIRST AMENDMENT OF CITY SECRETARY CONTRACT NO. 57511
A VENDOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH
AND PRO-SHOPKEEPER COMPUTER SOFTWARE CO.INC.,DBA CLUB PROPHET
SYSTEMS
This FIRST AMENDMENT ("First Amendment") is made and entered into by and between the
CITY OF FORT WORTH, a home-rule municipal corporation of the State of Texas, acting by
and through its duly authorized Assistant City Manager ("City"), and PRO-SHOPKEEPER
COMPUTER SOFTWARE CO. INC., DBA CLUB PROPHET SYSTEMS ("Vendor"), a
Pennsylvania Company and acting by and through its duly authorized representative, each
individually referred to as a("Party") and collectively referred to as the ("Parties").
WHEREAS, on May 3, 2022, the Parties entered into a Vendor Services Agreement to
allow Vendor to provide services for RFP 22-0053, Golf Course Point of Sale Software System
for: Meadowbrook Golf Course, located at 1815 Jenson Rd, Fort Worth, TX 76112; Rockwood
Golf Course, located at 1851 Jacksboro Highway, Fort Worth, TX 76114; and Pecan Valley Golf
Course,located at 6400 Pecan Valley Drive,Fort Worth,TX 76132,the same being City Secretary
Contract("CSC")Number 57511 ("Agreement");
WHEREAS,the Parties desire to amend the Agreement to increase the total compensation
amount from $31,000.00 to $37,500.00; and
NOW, THEREFORE, in consideration of the mutual covenants and agreements
contained herein, the City and the Vendor do mutually covenant and agree to amend as follows:
I.
The City and Vendor hereby agree to amend the Agreement to increase the total
compensation as set forth in Exhibit A-1, attached hereto and incorporation herein by reference
which will not exceed Thirty-Seven Thousand and Five Hundred Dollars and Zero Cents
($37,500.00) ("Compensation").
II.
1. All terms in this First Amendment that are capitalized but not defined shall have
the same meanings assigned to them in the Agreement.
2. All terms and conditions of the Agreement that are not expressly amended pursuant
to this First Amendment shall remain in full force and effect.
