THIRD AMENDMENT TO
CITY SECRETARY CONTRACT NO. 52804
THIS THIRD AMENDMENT to City Secretary Contract No. 52804 is entered into by and between the
City of Fort Worth ("City"), a home-rule municipality in the State of Texas, acting through Valerie
Washington, its duly authorized Assistant City Manager, and Tradebe Environmental Services, LLC
("Contractor"), acting through Dean Nardi,its Executive VP of Business Relations.
WHEREAS,the City and Tradebe Environmental Services, LLC,have entered into that certain agreement
identified as City Secretary Contract No. 52804 (also the "Contract") commencing on September 18, 2019
for transportation,packaging, and disposal of hazardous, special, and solid waste, as authorized on August
20, 2019 by Mayor and Council Communication 19-0054; and
WHEREAS,municipal contracts for services are exempt from the provisions of Chapter 252 of the Texas
Local Government Code under the general exemption provided for procurements necessary to preserve or
protect the public health or safety of a municipality's residents; and
WHEREAS, the parties wish to extend the term of the Contract, for an additional one (1) year term, the
fourth (41h) of five (5),beginning September 18,2022 and ending September 17, 2023 and sufficient funds
have been appropriated; and
WHEREAS, the parties also wish to amend the Contract's Fee Schedule; and
WHEREAS, the parties agree that all other terms and conditions shall remain the same as stated in City
Secretary Contract No. 52804, as amended;
NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, and other good
and valuable consideration, the receipt and sufficiency of which are hereby acknowledged and confessed,
the parties hereto agree as follows:
1. Extended Term of Contract:
City Secretary Contract No. 52804, as amended, is extended to include the term beginning September
18, 2022 and ending September 17, 2023, the fourth of five twelve-month periods of the Contract.
2. Line Item Cost Increases:
City Secretary Contract No. 52804 is amended to revise its Fee Schedule to allow for a 9.1% across the
board increase, as detailed in the Tradebe Environmental Services, LLC 2022-2023 Price Adjustments,
attached hereto as Attachment "A" and incorporated herein for all purposes.
3. Compensation Not to Exceed Amount:
Compensation shall not exceed One-Hundred Fifty Thousand Dollars and 00/100 ($150,000.00) for the
term of this amendment, billable according to the compensation schedule of City Secretary Contract No.
52804, as amended, and subject to all other terms and conditions as stated in City Se retary Contract No.

4. Miscellaneous:
All other definitions,terms,and conditions of City Secretary Contract No. 52804,as amended,shall remain
unchanged except as expressly set forth herein.
