AMENDMENT 1 AND RENEWAL 1 TO CONTRACT 56130
COOPERATIVE PURCHASE AGREEMENT
This Amendment and Renewal is entered into by and between the City of Fort Worth
(hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and Ingram Library Services, LLC (hereafter "Vendor"). City and
Vendor shall be referred to individually as a Party and collectively as the Parties.
WHEREAS, the Parties previously entered into City Secretary Contract 56130 (the
"Agreement")for Vendor to provide the Fort Worth Public Library("Library") services and goods
as defined in Exhibit A of the Agreement; and
WHEREAS,the Agreement may be renewed annually for four one-year renewal options
by written agreement of the Parties; and
WHEREAS,the Parties now wish to amend the Agreement in order to edit the language
related to audit requirements; and
WHEREAS, the Parties now wish to renew the Agreement for an additional term from
June 15, 2022 to June 14, 2023.
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives, enter into the following agreement:
1.
AMENDMENTS TO AGREEMENT
The following terms are hereby amended to replace the referenced terms in the Agreement
and shall be binding and enforceable as if they were originally included therein.
Paragraph 6 of the Agreement, in relation to Audit requirements, is hereby deleted in its
entirety and replaced with the following:
If any money is exchanged as part of this Agreement, then the City shall have the right to
audit the financial and business records of the Vendor that relate to any monetary exchange
under this Agreement (collectively "Records") at any time during the Term of this
Agreement and for three (3)years thereafter."
2.
RENEWAL
The term of the Agreement is hereby renewed for an additional year to begin on June 15,
2022 and expire on June 14, 2023, unless terminated earlier in accordance with the Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
4.
ELECTRONIC SIGNATURE
This Renewal may be executed in multiple counterparts, each of which shall be an
original and all of which shall constitute one and the same instrument. A facsimile copy

or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as anoriginal.
