STANDARD AGREEMENT FOR PROFESSIONAL SERVICES

COUNTY OF TARRANT
WHEREAS, The City of Fort Worth and Elements of Architecture, Inc., (Consultant)
made and entered into City Secretary Contract No. 49559 (The Contract) which was
authorized by the City Council by M&C Reference No.: C-28324, the 15th day of August,
2017, for Old Hemphill Road Drop-Off Station Addition; and Amendments No. 1, No. 2,
No. 3, No. 4, No. 5, & No. 6 were administratively executed in the amount of
$84,021.00 for revisions to the PD site plan; and for additional signage design services,
security modifications to existing site surveillance, and additional construction
administration services due to changes in the construction sequence; and design
services agreement for additional site lighting and provision for additional security
cameras including photometric study to confirm light coverage to enhance security;
retaining wall foundation & Urban Forestry modifications; and additional structural
revisions to the existing retaining wall, respectively; and additional construction
administration services for the extended duration of construction schedule due to
delays experienced by the general contractor; and
WHEREAS, further amendment is necessary to reimburse the Consultant as part of the
design services agreement for the extended duration of construction schedule due to
delays experienced by the general contractor.
NOW THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends the
Contract:

Article I — Scope of Services, Paragraph (2) shall be added to read as follows:
(2) Provide additional design, Architectural & Engineering, for the Drop-Off Station.
The cost of this additional service is $15,950.00 without additional reimbursable
expenses. The scope of services is described more fully in Elements of
Architecture, Inc. Letter dated Revised September 27, 2022, subject: "Proposal
for Amendment 07 — Additional CA Phase Services, Old Hemphill Drop-Off
Station — Extended Construction Time".

Article II — Compensation, first paragraph, is amended as follows:
"Consultant shall be compensated in accordance with the Fee Schedule shown
in Attachment "H". Payment shall be considered full compensation for all labor,
materials, supplies, and equipment necessary to complete the services
described in Attachment "H". However, the total fee paid by the City shall not
exceed a total of $198,787.00 including $6,900.00 in reimbursable expenses
unless the City and the Consultant mutually agree upon a fee amount for
additional services and amend this Agreement accordingly, OFFICIAL RECORD

Re: Proposal for Amendment 07-Additional CA Phase Services
Old Hemphill Drop-Off Station-Extended Construction Time
Dear Alfonso;
Elements of Architecture, Inc. is pleased to present to you this proposal for additional services associated
with the Construction Phase at the Old Hemphill Drop-Off Station. With the status of the project,we believe
that this is enough time to get the project closeouts completed. However,if we see that this delays past 45
days,we would again request for additional services to address the extended schedule of the project.
PROPOSED FEE
Labor and Expenses
We propose to provide our services as identified in this proposal for the lump sum amount for labor and
expenses as follows:
Architectural Services 15,950
TOTAL LUMP SUM FEE $15,950
PROJECT TEAM
Only architectural services are included and anticipated. Elements is a MWBE certified firm.
ADDITIONAL SERVICES
Any services beyond those identified in this proposal can be provided on an hourly basis.
If this proposal meets with your approval,we would anticipate an amendment to our contract for services
