FIFTH AMENDMENT TO
CITY SECRETARY CONTRACT NO.49928
THIS FIFTH AMENDMENT to City Secretary Contract No.49928 is entered into by and
between the City of Fort Worth ("City"), a home-rule municipality in the State of Texas, acting
through Valerie Washington, its duly authorized Assistant City Manager, and Intercon
Environmental, Inc., a Texas corporation ("Contractor"), acting through Karen Andrews its duly
authorized President. City and Contractor may be referred to herein individually as a Party, or
collectively as the Parties.
WHEREAS, the City and Intercon Environmental, Inc. have entered into that certain
agreement identified as City Secretary Contract No. 49928 (also the "Contract"), commencing on
November 8,2017,for the removal,packaging,transportation,and disposal of asbestos containing
materials and mold contaminated materials from City-owned facilities; and
WHEREAS, municipal contracts for such services are exempt from the provisions of
Chapter 252 of the Texas Local Government Code under the General Exemption provided for
procurements necessary to preserve or protect the public health or safety of a municipality's
residents; and
WHEREAS, the Contract included an initial term of one year and provided for up to four
(4)one-year renewal terms; and
WHEREAS,the parties have previously exercised the four(4)one-year renewal terms and
now wish to amend the Contract to allow for an additional extension of one hundred and eighty
(180) days with a term commencing on November 9, 2022 and expiring on June 9, 2023 and
sufficient funds in the amount of$100,000 have been appropriated for this additional term; and
WHEREAS,the parties agree that all other conditions,terms,and pricing shall remain the
same as stated in City Secretary Contract No.49928;
NOW, THEREFORE, for and in consideration of the mutual covenants contained herein,
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged and confessed,the parties hereto agree as follows:
1. Extended term of Contract:
City Secretary Contract No. 49928 is amended and extended to include a renewal term beginning
on November 9,2022 and expiring on June 9,2023.
2. Compensation Not to Exceed Amount:
Compensation shall not exceed One Hundred Thousand Dollars($100,000.00)for the term of this
renewal,billable according to Contract's Fee Schedule and subject to all other terms and conditions
as stated in City Secretary Contract No. 49928, and subject to prior duly authorized and executed
amendments.

3. Miscellaneous:
All other definitions, terms, and conditions of City Secretary Contract No. 49928 shall remain
unchanged except as expressly set forth herein.
