HomeMy WebLinkAboutContract 50009-A1 CSC No. 50009-Al FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 50009 This First Amendment to Fort Worth City Secretary Contract No. 50009 ("First Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and N. Harris Computer Corporation("Vendor"), a Canadian corporation. WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 50009 beginning November 8, 2017 (the "Agreement"); and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to modify the scope of professional services. NOW THEREFORE,known by all these present,Fort Worth and Vendor,acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. Exhibit 2—Standard Support and Maintenance Services-Standard Guidelines of the Agreement is hereby amended by modifying Section 5: Billable Support Services adding: Professional Services provided by Vendor under this clause shall only be authorized upon signature by the Contract Compliance Manager on a mutually agreeable Statement of Work. Fees for Billable Support Services shall not exceed$20,000.00 annually. 2. All other terms,provisions,conditions,covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. The original Harris maintenance and support contract CSCO 50009 contains a clause that stipulates services that are considered billable support services; however, the contract did not define a dollar amount that could be used to pay for such services. We need to amend CSCO 50009 to add a provision for professional services in accordance with the Billable Support Services clause in section 5 of the SmartWorks Software Support Agreement (Exhibit 2). These services require intellectual knowledge of the Harris software including special knowledge of how to adjust the configuration to meet the Utility's business requirements. The required services are highly skilled professional services that are best provided by the company that developed the software. The service provider should have in-depth knowledge of the automated metering infrastructure and the data collected by electronic Sensus water meters. The provider must have specialized staff who understand existing system capabilities, processes, and data flows. With this knowledge, Harris as the software developer is best suited to propose better processes and solutions. A bid process for these services will not produce more qualified providers than the software manufacturer who is already under a support contract for the Fort Worth Water Utility.
