SECOND AMENDMENT TO AND FIFTH RENEWAL OF
CITY SECRETARY CONTRACT NO. 51299
THIS SECOND AMENDMENT TO AND FIFTH RENEWAL of City Secretary Contract No.
51299 is entered into by and between the City of Fort Worth("City"),a home-rule municipality in
the State of Texas,acting through Valerie Washington,its duly authorized Assistant City Manager,
and Veolia ES Technical Solutions, LLC, a Delaware Limited Liability Company registered to
conduct business in Texas("Contractor"),acting through its duly authorized Manager.
WHEREAS, the City and Veolia ES Technical Solutions, LLC have entered into that certain
agreement identified as City Secretary Contract No. 51299 (also the "Contract") commencing on
September 19, 2018 for waste disposal services as authorized by Mayor and Council
Communication C-28819; and
WHEREAS,municipal contracts for services are exempt from the provisions of Chapter 252 of the
Texas Local Government Code under the general exemption provided for procurements necessary
to preserve or protect the public health or safety of a municipality's residents; and
WHEREAS, the Contract was for an initial term of one year and the Contract provides for the
extension of the term of the Contract for up to four additional periods of one year each; and
WHEREAS, the parties previously extended the term of the Contract through October 31, 2022;
and
WHEREAS, the parties now wish to extend the term of the Contract for a final renewal term
commencing on November 1,2022 and expiring on September 18,2023,and sufficient funds have
been appropriated; and
WHEREAS,the parties also wish to revise the unit prices included in the Contract; and
WHEREAS,the parties agree that all other conditions and terms shall remain the same as stated in
City Secretary Contract No. 51299;
NOW,THEREFORE,for and in consideration of the mutual covenants contained herein,and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged
and confessed,the parties hereto agree as follows:
1. Extended term of Contract:
City Secretary Contract number 51299 is extended to include a renewal term beginning on
November 1, 2022 and expiring on September 18, 2023. City and Contractor acknowledge and
agree that, at all times since October 31, 2022, City and Contractor have been operating as if the
Contract were in full force and effect.

2. Line Item Cost Increases:
City Secretary Contract No. 52199 is amended to revise its Fee Schedule to allow for an increase
of the unit prices, as delineated in the Revised Fee Schedule attached hereto as Attachment "A"
and incorporated herein for all purposes.
3. Compensation Not to Exceed Amount:
Compensation shall not exceed Four Hundred Fifty-Five Thousand Dollars ($455,000.00) for the
term of this renewal,billable according to the Revised Fee Schedule and subject to all other terms
and conditions as stated in City Secretary Contract No. 51299,and subject to prior duly authorized
and executed amendments.
4. Miscellaneous:
All other definitions,terms, and conditions of City Secretary Contract number 51299 shall remain
unchanged except as expressly set forth herein.
