SECOND AMENDMENT AND FOURTH RENEWAL TO
FORT WORTH CITY SECRETARY CONTRACT NO. 52251
This Second Amendment and Fourth Renewal to Fort Worth City Secretary Contract No.
52251 is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and
Innovyze, LLC an Oregon corporation ("Vendor").
WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth
City Secretary Contract No. 52251 beginning December 15, 2018 (the "Agreement"); and
WHEREAS, the Agreement was amended to increase funding for enhancements: the
InfoMaster Desktop Suite Floating (InfoCare Renewal product was upgraded to the InfoAsset
Planner Unlimited Floating) InfoCare Renewal. Due to this change, Exhibit B-2 was added to the
Price Schedule to provide the Year 4 and Year 5 product and pricing modification. The annual
amount equaled a not to exceed of$48,775.18;
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement due to the Vendor's name change, and to execute a fourth contract renewal;
NOW THEREFORE,known by all these present,Fort Worth and Vendor,acting herein by
the through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. The necessary steps have been taken by the Vendor and approved by the City,
allowing for the Vendor's name change. The prior name was Innovyze Inc and the new name is
Innovyze LLC.
2. CSC 52251 will expire on December 14,2022.Pursuant to the Agreement, contract
renewals are at the sole option of the City. The City is exercising its right to renew the Agreement
for an additional one (1)year period,which will begin on December 15, 2022.
3. All other terms,provisions,conditions,covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.

EXPLANATION
Attached is the Second Amendment and Fourth Renewal to CSC 52251, the agreement between the
Water Department and Innovyze, LLC (Innovyze), which provides us with hydraulic modeling and
software support services including software licensing.
A name change was processed and finalized by FMS/Vendor Management, and approved by Law.
This Second Amendment updates the Vendor's name from Innovyze, Inc. to Innovyze, LLC in the
contract.
The Fourth Renewal is due and because the amendment was also needed, we received permission from
the Assistant City Attorney to process the renewal along with the amendment, as one document.
The term of the renewal is December 15, 2022 through December 14, 2023. The"not to exceed"
amount of the contract is $48,775.18. The Price Schedule is Exhibit B of CSC 52251.
