EXPLANATION
The sole source contract CSC 57272 with N Harris Computer Corporation(Harris)was created
to provide professional services to support the Water Utility's meter data management system.
The original Harris maintenance and support contract CSC 50009 contains a clause that
stipulates services that are considered billable support services; however, 50009 did not define a
dollar amount that could be used to pay for such services thereby prompting our need for 57272
based upon a 252 sole source procurement exemption. That clause in 50009 also states that those
services may be provided by other consultants and are not exclusive to Harris. Therefore, the
sole source justification for contract 57272 is invalid. We have to issue a termination letter on
57272 and nullify the contract.
The attach includes the cancellation letter for CSC 57272 and an Amendment 1 to CSC 50009
that adds a provision for professional services in accordance with the Billable Support Services
clause in section 5 of the SmartWorks Software Support Agreement(Exhibit 2). We could not do
this before because we did not have Council authorization to add funds to that contract,but now
we do via M&C 22-0319 approved on 04/26/2022.
The amendment will add$20,000.00 for professional services related to configuration changes
for the Utility's meter data management system. This additional spending authorization is
included in M&C 22-0319 in accordance with the newly approved City Council spending
authorization that transferred all MyH2O technology to annual operating funding. The new
50009 contract language stipulates a number of annual ad hoc hours to be consumed by mutually
acceptable statements of work up to $20,000.00 per year.
A newly approved 252 exemption has also been included that authorizes Harris to provide these
services using the highly skilled professional services clause rather than a sole source exemption.

Dear Sir or Madam:
This letter is to inform you that the City is exercising its right to terminate the Vendor
Services Agreement for SmartWorks Compass Professional Services, dated March 21, 2022, CSC
No. 57272 (the "Contract"). Pursuant to section 4.1 of the Contract, the City has the right to
terminate the Contract. The termination shall be effective immediately upon the end of the
termination notice period stated in the Contract.
Failure to provide a signed acknowledgment does not affect the termination of the
Contract.
