RENEWAL 1 AND AMENDMENT 1 TO CITY OF FORT WORTH CONTRACT 56887
BETWEEN THE CITY OF FORT WORTH AND GEM SOUTHWEST LLC
FOR ELECTRONIC RECYCLING AND DISPOSAL SERVICES
This Contract Renewal Agreement (the "Agreement") is made and entered into by and between
the City of Fort Worth, a home-rule municipal corporation of the State of Texas, (hereinafter
referred to as the "City"), acting by and through its duly authorized Assistant City Manager, and
Gem Southwest LLC(hereinafter referred to as the "Contractor"),acting by and its duly authorized
representative,to provide electronic recycling and disposal services. Each party shall be individual
referred to herein as "Party" and collectively as "Parties".
RECITALS
WHEREAS, on December 27, 2021, the Contractor entered into an agreement with the
Contractor to provide electronic recycling and disposal services. The agreement was assigned
City Secretary Office (CSO) Contract No. 56887 (the "Original Agreement"); and
WHEREAS, the initial term of the Original Agreement was from December 10, 2021 to
December 9, 2022 and could be renewed by sole option of the City;
WHEREAS, Contractor have requested an increase the recycling fee from $0.10/lb to
$0.20/lb due to dramatically increased operation cost with labor, gas, supplies and logistics;
WHEREAS, the Parties both wish to renew the term of the Original Agreement for the
first renewal term to run from December 10, 2022 through December 9, 2023; and
WHEREAS,the Parties agree to amend the Original Agreement by replacing Exhibit B to
reflect the increased recycling fee.
NOW THEREFORE City and Contractor do hereby agree to the following:
I.
RENEWAL OF AGREEMENT
1. The Agreement, as amended herein, is hereby renewed and extended for a renewal term
commencing on December 10, 2022, and ending on December 9, 2023.
II.
AMENDMENT TO AGREEMENT
The following terms are hereby amended to either replace any conflicting terms in the
Original Agreement or shall be added to the terms and shall be binding and enforceable as if they

were originally included therein and the amended agreement shall be referred to as the
Agreement in all future documents.
1. Exhibit B of the Original Agreement is hereby deleted and replaced with the Exhibit B
attached to this Contract Renewal Agreement.
III.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Original Agreement which are not expressly amended herein
shall remain in full force and effect.
IV.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.
