HomeMy WebLinkAboutContract 56806-A4 CSC No. 56806-A4 FOURTH AMENDMENT TO PURCHASE AGREEMENT BASED UPON AN INTERLOCAL AGREEMENT BETWEEN THE CITY OF FORT WORTH AND ORIENTAL BUILDING SERVICES, INC. FORT WORTH CITY SECRETARY CONTRACT NO.56806 This Fourth Amendment to the PURCHASE AGREEMENT BASED UPON AN INTERLOCAL AGREEMENT ("Fourth Amendment"), Fort Worth City Secretary Contract No. 56806, between the CITY OF FORT WORTH ("City"), a Texas home rule municipal corporation and ORIENTAL BUILDING SERVICES, INC. ("Vendor"), a Texas Corporation, each individually referred to as a"party" and collectively referred to as the"parties." WHEREAS City and Vendor entered into an agreement for janitorial services for the City's various facilities, said agreement being identified as Fort Worth City Secretary Contract No. 56806 and having an effective date of December 14, 2021 (the "Agreement"); and WHEREAS on March 23, 2021, City and Vendor amended the Agreement for the first time to include janitorial services for additional City facilities (Fort Worth City Secretary Contract No. 56806-A1); and WHEREAS on July 11, 2022, City and Vendor amended the Agreement for the second time to include janitorial services for the City's Bob Bolen Public Safety Complex located at 505 W. Felix Street, Fort Worth, Texas 76115 (Fort Worth City Secretary Contract No. 56806-A2); and WHEREAS on September 23, 2022, City and Vendor amended the Agreement for the third time to include janitorial services for the City's facility located at 1000 Calvert, Fort Worth, Texas 76107 (Fort Worth City Secretary Contract No. 56806-A3); and WHEREAS City and Vendor now wish to amend the Agreement for the fourth time to include janitorial services for the City's leased facility located at 2929 W. 5th Street, Fort Worth, Texas 76107. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms: 1. Amendment of Scope of Services. The services and fees included in Exhibit A—"Quote— PD Lease of 2929 W. 5th Street" attached to this Fourth Amendment, are incorporated into the Agreement's Exhibit C — "Vendor's Quote, Pricing, Scope of Services or Purchase Order" as if they had been originally set forth in the Agreement. 2. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. Total payment made under the Agreement shall not exceed Two Million Five Hundred Thousand Dollars ($2,500,000.00). DISCUSSION: On August 11, 2020, the City Council approved awarding a Janitorial Services Agreement with American Facilities Services to provide janitorial services to City buildings in an amount up to $5,000,000.00. As a result of Covid, American Facilites Services has had difficulty finding sufficient staff to perform the services at all city buildings. In order to maintain janitorial services at all city locations, Staff began looking for additional vendors to provide janitorial services to city buildings. State law provides that a local government purchasing an item under a cooperative purchasing agreement satisfies state laws requiring that the local government seek competitive bids for purchase of the item. In accordance with Mayor and Council Communication (M&C P-10710) approved January 15, 2008, the City Manager may enter into an interlocal cooperative purchasing agreement that allows the City to take advantage of other competitively bid contracts. The City has an interlocal cooperative purchasing agreement with Tarrant County. Tarrant County awarded the contract for bid number 2020-145 for janitorial services to Oriental Building Services, Inc. after completing a competitive bidding process. The Commissioners Court approved the contract in Court Order 133684. Tarrant County's competitively procured agreement with Oriental Building Services, Inc. authorizes cooperative procurements from other units of local government. Staff recommends awarding a one year contract with two options to renew with Oriental Building Services, Inc. for an amount up to $2,500,000.00. COOPERATIVE PURCHASE - State law provides that a local government purchasing an item under a cooperative purchasing agreement satisfies State laws requiring that the local government seek competitive bids for purchase of the item. Cooperative contracts have been competitively bid to increase and simplify the purchasing power of local government entities across the State of Texas. BUSINESS EQUITY-A goal is not assigned when purchasing from an approved purchasing cooperative or public entity. Upon City Council's approval, the agreement will begin on execution of the agreement by both parties and will end on September 30,2022 with two options for renewal periods of twelve months each.
