AMENDMENT AND RENEWAL NO. 3 TO
CITY SECRETARY CONTRACT NO. 50718
SUPPLIER SERVICES AGREEMENT
This Amendment is entered into by and between the City of Fort Worth (hereafter
"Licensee"), a home rule municipal corporation organized under the laws of the State of Texas,
with its principal place of business at 200 Texas Street, Fort Worth, Texas, and Grayshift, LLC
(hereafter"Supplier"), a Delaware Corporation.
WHEREAS, the parties have previously entered into City of Fort Worth City Secretary
Contract No. 50718 (the "Contract"), which was executed on April 25, 2018 with up to four (4)
automatic renewal terms; and
WHEREAS, The Contract was automatically renewed for the first and second renewal
terms;
WHEREAS, it is the collective desire of Licensee and Supplier to amend the Contract price
from$12,246.58 to $46,570.00 for the current renewal term; and
WHEREAS, the current renewal term of the Contract expires January 31, 2023; and
WHEREAS, the Licensee and Supplier now wish to amend the Contract and execute the
third renewal early to be effective from December 1, 2022 to January 31, 2024; and
NOW, THEREFORE, Licensee and Supplier, acting herein by the through their duly
authorized representatives, enter into the following agreement to amend and renew the Contract:
1. The Contract is hereby amended by increasing the total contract price for this Term to an
amount up to $46,570.00;
2. Section 1 of the Contract Addendum, Term is hereby amended by allowing for the renewal
terms to extend to fourteen (14)months;
3. The term of the third renewal period shall begin on December 1, 2022 (" Effective
Date") and shall expire on January 31, 2024 (" Expiration Date"), unless terminated
earlier in accordance with this Contract;
4. All other provisions of the Contract which are not expressly amended herein shallremain
in full force and effect.
