FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 57769
A NON-EXCLUSIVE CONTRACTOR SERVICES AGREEMENT
BETWEEN THE CITY OF FORT WORTH AND
GOODWILL INDUSTRIES OF FORT WORTH, INC.
This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 57769
("First Amendment") is entered into by and between the City of Fort Worth ("City"), a home -
rule municipal corporation of the State of Texas, and Goodwill Industries of Fort Worth, Inc.
("Contractor"), a Texas Nonprofit Corporation, acting by and through its duly authorized
representative, each individually referred to as "party" and collectively referred to as the "parties."
WHEREAS, on or about June 29, 2022, the Parties entered into City Secretary Contract
No. 57769 ("Agreement") for temporary animal technician services at Animal Care and Control
Centers; and
WHEREAS, due to full-time staff resignations at the City, and the current market
conditions, City needs additional animal technician services; and
WHEREAS, on November 29, 2022, through M&C 22-1017, the City Council
authorized an amendment to the Agreement to increase the aggregate amount of all contracts
awarded to multiple contractors during the initial term by $105,000.00 for a new annual amount
of up to $525,000.00; and
WHEREAS, the Parties desire to amend the Agreement to reflect the new annual
amount for the Initial Term.
NOW THEREFORE, City and Contractor, acting herein by and through their duly
authorized representatives, agree to amend the Agreement as follows:

Section 3 of the Agreement is hereby in its entirety to be and read as follows:
3. Compensation. City will pay Contractor in accordance with the provisions of
this Agreement, including Exhibit "B," which is attached hereto and incorporated herein for all
purposes. Contractor understands and agrees that the City will award non-exclusive agreements to
multiple bidders for services outlined in City of Fort Worth Bid Solicitation (ITB 22-0115) which
is attached hereto as Exhibit C, and incorporated herein for all purposes. Contractor further
understands that the aggregate amount of all contracts awarded to multiple contractors under ITB
No. 21-0115 shall be an amount not to exceed FIVE HUNDRED TWENTY-FIVE THOUSAND
Dollars ($525,000.00) for the initial term, and the City makes no promise or guarantee of the total
amount of work that will be assigned to Contractor under this Agreement. Contractor will not
perform any additional services or bill for expenses incurred for City not specified by this
Agreement unless City requests and approves in writing the additional costs for such services. City
will not be liable for any additional expenses of Contractor not specified by this Agreement unless

City first approves such expenses in writing.

a. All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
b. Terms in this First Amendment that are capitalized, but not defined, shall have the
meanings ascribed to those terms by City Secretary Contract No. 57769.
