RENEWAL NO. 1 TO
CITY SECRETARY CONTRACT NO. 57469
VENDOR SERVICE AGREEMENT
This Renewal is executed by and between the City of Fort Worth ("City"), a home rule
municipal corporation with its principal place of business at 200 Texas Street, Fort Worth, Texas,
and LITERACY MINNESOTA ( "Vendor"), a nonprofit agency each individually referred to
herein as a "Party" and collectively as "Parties."
WHEREAS, on April 22, 2022, Parties entered into City Secretary Contract 57469 for
Vendor to provide City with access to their proprietary system, including digital literacy
assessments, curriculum, and Northstar Online Learning ("Agreement"); and
WHEREAS, the current term of Agreement expires on March 31, 2023; and
WHEREAS, Agreement allows for renewals under the same terms and conditions for four
one-year renewal options at the City's sole discretion; and
WHEREAS, Parties now wish to renew the term of the Agreement for continued services
pursuant to the original Agreement for an additional year, specifically from April 1, 2023 to March
31, 2024, and the related renewal fees are documented in the attached Vendor Quote # 02152023.
NOW, THEREFORE, City and Vendor acting herein by and through their duly
authorized representatives, enter into the following agreement to renew the contract:

The term of Agreement is hereby renewed for an additional year and will expire March 31,
2024, unless terminated earlier in accordance with Agreement.
2.
All other provisions of Agreement which are not expressly amended herein shall remain in
full force and effect.

This Renewal may be executed in multiple counterparts, each of which shall be an original
and all of which shall constitute one and the same instrument. A facsimile copy or computer image,
such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an
original.

Quote for NorthStar Digital Literacy, a program of Literacy Minnesota to provide services to
Fort Worth Public Library.
A subscription includes a portal for each location through which your clients can complete the
assessments and a database you can access that consists of the test results of all those competing
assessments through your portal, online proctor training, the ability to proctor assessments, and
award NorthStar Certificates, access to classroom curriculum and online learning for students,
creating individual student accounts, and technical assistance. The annual network sponsorship
cost for 17 locations is $6,800 ($400 for each site).
An invoice will be generated and emailed to the billing contact.
