RENEWAL NO. VRENEWAL NO.2 TO
CITY SECRETARY CONTRACT NO. 55281
This Renewal is entered into by and between the City of Fort Worth (hereafter "City"),
a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth,
Texas, and Seven Stars Services LLC dba Simpalm ("Vendor"), each individually referred to
as a "Party" and collectively referred to as the "Parties."
WHEREAS, the Parties have previously entered into City of Fort Worth City Secretary
Contract No. 55281 (the "Agreement"); and
WHEREAS, the Agreement was executed for Vendor to provide City with
implementation and access to the DucknOwl Platform, a talent screening and assessment platform
developed to help recruiters screen candidates efficiently ("Agreement"); and
WHEREAS, the Initial Term of the Agreement was from January 29, 2021 and expired
on March 31, 2022 and the Agreement provided for five one-year renewal options at the City's
discretion; and
WHEREAS, prior to the end of the initial term of the Agreement, the Parties agreed to
continue services for the first one-year renewal term, in accordance with the same terms and
conditions, which the Parties would now like to memorialize. The first renewal term was for a
period beginning on April 1, 2022 and ends on March 31, 2023; and
WHEREAS, Parties now wish to renew the term of the Agreement for continued
services pursuant to the original Agreement for a second renewal term, specifically from April 1,
2023 to March 31, 2024.
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives, agree to the following terms, which amend the Agreement as follows:
1.
RENEWAL
The term of Agreement is hereby renewed for an additional year and will expire March 31, 2024,
unless terminated earlier in accordance with Agreement.
2.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall remain in full
force and effect.

ELECTRONIC SIGNATURE
This Renewal may be executed in multiple counterparts, each of which shall be an original
and all of which shall constitute one and the same instrument. A facsimile copy or computer
image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same
effect as anoriginal.
