RENEWAL 7 TO
CITY SECRETARY CONTRACT NO. 43165
This Amendment is executed by and between the CITY OF FORT WORTH ("City"), a home -
rule municipality, and DATA AXLE INC. F/K/A INFOGROUP, INC. ("Vendor"), a corporation
authorized to do business in the State of Texas, each individually referred to herein as a "Party" and
collectively as the "Parties."
WHEREAS, Parties have previously entered into City of Fort Worth City Secretary Contract No.
43165 ("Agreement") on April 30, 2012;
WHEREAS, Agreement was executed for Vendor to provide City with a subscription to the
ReferenceUSA database;
WHEREAS, Agreement was amended on March 4, 2021 in order for Vendor to memorialize the
name change of the subscription database ReferenceUSA to Data Axle Reference Solutions;
WHEREAS, Agreement was amended on September 27, 2022 to allow Parties to acknowledge
that InfoUSA Marketing, Inc. is a subsidiary of Vendor and is responsible for issuing all invoices and
sending said invoices to City;
WHEREAS, the original term of the Agreement was for one year with unlimited annual renewals;
WHEREAS, Agreement was most recently renewed for continued services for an additional year,
specifically from April 15, 2022 to April 14, 2023;
WHEREAS, Parties wish to renew the term of the Agreement for continued services for an
additional year, specifically from April 15, 2023 to April 14, 2024; and

WHEREAS, Parties agree that in consideration for the one (1) year extension of the Data Axle
Reference Solutions subscription, City shall pay Vendor the fee of $38,767.00.
NOW, THEREFORE, Parties, acting herein by the through their duly authorized representatives,
enter into the following Agreement.
1.
RENEWAL OF AGREEMENT
The term of Agreement is hereby renewed for an additional year, specifically from April 15, 2023
to April 14, 2024; unless terminated earlier in accordance with the Agreement.
2.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Contract which are not expressly amended herein shall remain in full
force and effect.
3.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy or computer
image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an
original.
