FIRST AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 50011
This First Amendment to Fort Worth City Secretary Contract No. 50011 ("First
Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation
and Aqua -Metric Sales Company, a registered d/ b/ a of Thirkettle Corporation, ("Vendor"), a
California corporation.
WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth
City Secretary Contract No. 50011 beginning November 28, 2017 (the "Agreement"); and
WHEREAS, M&C 22-0319 authorized up to $20,000.00 annually for parts and labor costs
for repair or replacement of AMI infrastructure that is supported by this Agreement; and
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement to modify the scope to cover the cost of repairs found during annual inspections.
NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by
and through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. Section 3.1 shall be amended adding "Vendor may identify necessary AMI
Network repairs and parts replacements during annual inspections defined in Exhibit A. Vendor
shall issue a quote for repairs and parts replacements to be authorized by the Contract Compliance
Manager. Fees for materials and labor for repair shall be quoted at current market rates and shall
not exceed $20,000.00 annually."
2. All other terms, provisions, conditions, covenants and recitals of the Agreement
not expressly amended herein shall remain in full force and effect.

EXPLANATION
Attached is the first amendment of the Assignment Agreement, CSC 50011, with Thirkettle
Corporation d/b/a Aqua -Metric Sales Company (AquaMetric). This agreement provides annual
support and inspections of all components of the automated metering infrastructure (AMI). The
original agreement lacks a provision to pay for parts and labor related to repairs. The
amendment adds annual spending authorization of $20,000.00 for AquaMetric to perform
repairs that are found during the annual inspections of the AMI infrastructure.
