SECOND AMENDMENT AND SECOND RENEWAL TO
CITY SECRETARY CONTRACT NUMBER 55408
BETWEEN CITY OF FORT WORTH AND
MIDWEST VETERINARY SUPPLY INC.
This SECOND RENEWAL AND SECOND AMENDMENT TO CITY SECRETARY
CONTRACT NUMBER 55408 ("Second Renewal and Second Amendment") is entered into by
and between the City of Fort Worth ("City"), a Texas home -rule municipal corporation, acting
by and through is Assistant City Manager, and Midwest Veterinary Supply, Inc. ("Vendor"), a
North Dakota corporation, acting by and through its duly authorized representative, each
individually referred to as a "party" and collectively referred to as the "parties."
WHEREAS, on March 12, 2021, the Parties entered into an agreement for the Vendor to
provide turnkey digital radiography for veterinary use and annual maintenance, City Secretary
Contract Number 55408 ("Agreement");
WHEREAS, the Parties renewed the Agreement for an additional one year term and
amended the Agreement to increase the total compensation under the Agreement during the first
year, City Secretary Contract Number 55408-A1R1; and
WHEREAS, the Parties desire to renew the Agreement for an additional one year term
and to clarify the compensation payable to Vendor during the initial term and each renewal term;
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives, agree to renew and extend the Agreement and amend the Agreement as follows:
The City and Vendor agree to renew and extend the Agreement for a second renewal term
commencing on March 12, 2023 and ending on March 11, 2024.

Section 3 of the Agreement is amended in its entirety to be and read as follows:
3. Compensation. During the Initial Term, City will pay Vendor in
accordance with the provisions of this Agreement, including Exhibit `B", which is attached
hereto and incorporated herein for all purposes. Total compensation under this Agreement
for the Initial Term shall not exceed One Hundred Twenty -Four Thousand, Five
Hundred Sixty -Four Dollars and No Cents ($124,564.00). For each Renewal Term, City
shall pay Vendor in accordance with the provisions of this Agreement in an amount not to
exceed Two Thousand Dollars and No Cents ($2,000.00). Vendor will not perform any
additional services or bill for expenses incurred for City not specific by this Agreement
unless City requests and approves in writing the additional costs for such services. City

Between the City of Fort Worth and Midwest Veterinary Supply, Inc. FT. WORTH, Tx
will not be liable for any additional expenses of Vendor not specific by this Agreement
unless City first approves such expenses in writing.

All other provisions of the Agreement which are not expressly amended herein shall remain
in full force and effect.

This Second Amendment and Second Renewal may be executed in multiple counterparts,
each of which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image of a signature shall be treated as
and shall have the same effect as an original.

Executed to be effective on March 12, 2023. The revisions in section 2 of this Second
Amendment and Second Renewal shall be effective on March 12, 2022.
