TERMINATION OF CITY SECRETARY CONTRACT NO. 50021
This TERMINATION OF CITY SECRETARY CONTRACT (CSC) No.
50021 ("Termination") is made and entered into by and between the CITY OF FORT
WORTH ("Owner"), a home rule municipal corporation organized under the laws of the
State of Texas, acting by and through Dana Burghdoff, its duly authorized Assistant City
Manager and TIG Real Estate Services II, Inc. ("Vendor"), acting by and through
Brenda Kindt, Principal , each individually referred to as a "party" and collectively referred
to as the "parties".
RECITALS
The following introductory provisions are true and correct and form the basis of
this Agreement:
A. The parties previously entered into a professional services agreement for
the property management services at the Houston Street Garage under
CSC 50021 (the "Agreement");
B. The initial term of the Agreement was from October 1, 2017 until April 4,
2022 with options to renew, in the sole discretion of Owner;
C. The Agreement was renewed for the first renewal term beginning on April
5, 2022 and expiring on April 4, 2023;
D. The Owner has indicated it would not like to move forward with an
additional renewal and both parties would now like to formally
acknowledge the termination date of the Agreement as well as confirm
that no additional services are required of Vendor and that no additional
amounts are owed by Owner under the Agreement.
TERMINATION
1. TERMINATION OF AGREEMENT.
The Agreement is hereby terminated as of April 4, 2023. The Parties
hereby agree that neither parry is in default under the Agreement and
neither parry is owed any services or payment for such services under the

Agreement as of the date of this Termination. Both parties
RELINQUISH, RELEASE, ACQUIT, and FOREVER DISCHARGE each
other from and against any and all claims, demands, debts, liens, costs,
expenses, actions, and causes of action of whatsoever nature, description
of character, whether in tort or in contract, or by virtue of the common
law, statute, or regulation, known or unknown, heretofore existing
between the Owner and Vendor, whether known or unknown, which may
have accrued or may accrue, on account of, arising from, or in any manner
growing out of, relating to, resulting from, or in any way connected to the
obligations under the Agreement and any other portions of the Agreement
pertaining to any related transactions and occurrences including, but not
limited to, any and all claims for exemplary damages, consequential
damages, contractual damages, economic loss, attorney's fees, and any
and all damages recoverable under the laws of the State of Texas and any
and all other statutory or common law legal damages, known or unknown.
