THIRD AMENDMENT TO
FORT WO TH CITY SECRETARY CONTRACT NO. 46814
This Third Amendment to Fort Worth City Secretary Contract No. 46814 ("Third
Amendment") is made between the City of Fort Worth ("Fort Worth") and Total Resource
Management, Inc. a Virginia corporation ("TRM").
WHEREAS, Fort Worth and TRM entered into an Agreement identified as Fort Worth
City Secretary Contract No. 46814 beginning July 1, 2015 (the "Agreement"); and
WHEREAS, the Agreement was amended by Fort Worth City Secretary Contract No.
46814-Al that added additional services and extended the term of the Agreement; and
WHEREAS, the Agreement was amended by Fort Worth City Secretary Contract No.
46814-A2 to clarify the Term of the Agreement; and
WHEREAS, it is the collective desire of both Fort Worth and TRM to amend the
Agreement to extend it by three additional months;
NOW THEREFORE, KNOWN ALL BY THESE PRESENT, FORT WORTH and TRM,
acting herein by the through their duly authorized representatives, enter into this Third
Amendment, which amends the Agreement as follows:
The Term of the agreement shall be extended by three additional months, which amends
the expiration date from June 30, 2023, to September 30, 2023 (the Expiration Date), unless
terminated earlier in accordance with the provisions of the Agreement or otherwise extended by
the parties. City shall provide Vendor with written notice of its intent to renew at least thirty (30)
days prior to the end of the term.
All other terms, provisions, conditions, covenants and recitals of said Agreement not expressly
amended herein shall remain in full force and effect.

Third Amendment to Fort Worth City Secretary Contract No. 46814

EXPLANATION
Attached is the Third Amendment of City Secretary Contract (CSC) 46814. CSC 46814 is the
City's agreement with Total Resource Management (TRM) which provides the City with
Professional Services, Software Interface Development, and Hosting Services to support the
Maximo system. This amendment extends the contract expiration by an additional three months
so that instead of expiring on June 30, 2023, it will expire on September 30, 2023, while we
transition the Utility's Maximo system from the TRM host servers. We sought and received
permission from the Purchasing Attorneys to utilize the 252 Exemption for the additional time.
PSK 16310 for this agreement has $919,439.84 remaining for any additional funding needs.
