RENEWAL 6 AND AMENDMENT 1 TO
CITY SECRETARY CONTRACT NO. 49521
MASTER SERVICE AGREEMENT
This Renewal and Amendemnt is executed by and between the City of Fort Worth
("City"), a home -rule municipal corporation and OCLC Online Computer Library Center, Inc.
("OCLC"). City and OCLC are each individually referred to herein as a "Party" and collectively
as the "Parties."
WHEREAS, Parties have previously entered into City of Fort Worth City Secretary
Contract No. 49521 ("Agreement") on August 11, 2017;
WHEREAS, Agreement was executed for OCLC to provide the Fort Worth Public Library
with cataloging and metadata services including tools needed to effectively manage the metadata
for the Library's collection;
WHEREAS, Agreement was previously renewed for additional one-year terms with the
current renewal term ending on August 10, 2023;
WHEREAS, Parties now wish to renew the term of the Agreement for continued services
for an additional year, specifically from July 1, 2023 to June 30, 2024.
NOW, THEREFORE, City and OCLC acting herein, by and through their duly -
authorized representatives, enter into the following agreement to renew and amend the Contract:

RENEWAL OF AGREEMENT
The term of the Agreement is hereby renewed for an additional year and will expire June
30, 2024, unless terminated earlier in accordance with the Agreement. The attached document
from OCLC is hereby attached and incorporated for all purposes as Attachment A. In the event of
any conflict between the Agreement or this Renewal and Attachment A, the Agreement and this
Renewal shall control over Attachment A.
2.
AMENDMENTS TO AGREEMENT
Number 1 on page 9 of the Agreement is hereby amended to read as follows and is
incorporated as if executed at the outset of the Agreement's initial term:
Section 5.1 is deleted in its entirety and replaced by the following:
Term. The initial term of this Agreement shall be for a period of one (1) year
commencing on the Effective Date and shall be renewable annually for one-year
renewal terms upon the written mutual agreement of OCLC and Institution. Unless

otherwise specified, Schedules or the agreed upon pricing document shall commence
upon execution and shall continue for so long as Institution has access to the applicable
Products or Services.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
4.
ELECTRONIC SIGNATURE
This Renewal and Amendment may be executed in multiple counterparts, each of which
shall be an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have
the same effect as an original.
