THIRD AMENDMENT TO
CITY SECRETARY CONTRACT NO. 19032
ROOFTOP SPACE LICENSE
THIS THIRD AMENDMENT TO ROOFTOP SPACE LICENSE (this "Third
Amendment") is entered into effective as of the date of execution ("Effective Date"), by
and between the City of Fort Worth ("Licensee"), a Texas municipal corporation, and
Behringer Harvard Burnett Plaza LP, a Texas Limited Partnership, ("Licensor").
RECITALS
A. Burnett Plaza Associates, a Texas joint venture ("Original Licensor") and
Licensee entered into that certain Rooftop Space License (City Secretary Contract No.
19032) for Antenna and Radio Communication Equipment dated March 31, 1992, as
amended by First Amendment ("First Amendment") to Rooftop Space License dated
September 17, 2002, and Second Amendment ("Second Amendment") to Rooftop Space
License, dated November 1, 2006 collectively, the "License," for use of the Equipment
Space (as defined therein) on the rooftop of the building known as Burnett Plaza and
located at 801 Cherry Street, Fort Worth, Texas (the "Building").
B. All of Original Licensor's right, title and interest in the License have been
assigned to Licensor.
C. Licensor and Licensee desire to modify the Base License Fee, increase the
number of Antennas, and otherwise amend the License as set forth in this Third
Amendment.
Accordingly, for good and valuable consideration which the parties acknowledge
receiving, Licensor and Licensee agree as follows:
AGREEMENT
1. Recitals. The above Recitals are incorporated into this Third Amendment.
2. Application of License Terms. Capitalized terms used in this Third
Amendment and not defined herein shall have the meanings ascribed to them in the
License.
3. License of Antenna Mounts. From the Effective Date of this Third
Amendment, Licensor hereby grants to Licensee, a license for adding two (2) additional
antenna mounts in the locations set forth in Exhibit A, attached hereto and incorporated
herein for all purposes.

4. Base License Fee. The Base License Fee shall increase by One-
Thousand Three Hundred Ninety Dollars and 14/00 ($1,391.14) per month effective the
earlier of(i) the date when installation of additional antennas commences or (ii) June 1,
2011.
5. Counterpart Execution. This Third Amendment may be executed in
multiple counterparts, each of which shall be fully effective as an original, which together
shall constitute only one (1) instrument.
6. Miscellaneous. Unless amended herein, all other provisions of the License
shall continue in full force and effect and are in all respects ratified and confirmed
hereby, provided, however, that nothing in this Third Amendment shall be deemed a
waiver or release of any unperformed obligations of Licensee or Licensor under the
License.

This Rooftop Space License (this "License") is entered into
this ' sr day of March, 1992, between Burnett Plaza Associates, a
Texas joint venture, as licensor (herein called the "Licensor") and
the City of Fort Worth, as licensee (herein called the "Licensee") .
Licensor and Licensee hereby agree as follows:
1. License to Use Rooftop Space. Licensor hereby grants to
Licensee a license to use (a) eleven (11) antenna mounts located on
the roof of 801 Cherry Street, Fort Worth, Texas (the "Building") ,
for a forty (40) channel 800mhz trunked radio system as indicated
on Exhibit A attached hereto (the "Antenna Mounts") , (b) sixty-f ive
(65) footprints for radio cabinets (each being approximately 2 ' by
21 ) located in the enclosed penthouse structure on the roof of the
Building, as indicated on Exhibit B attached hereto (the
"Footprints") , and (c) utility shafts and conduits between the
Antenna Mounts and the Footprints for the purpose of connecting
same. The Antenna Mounts, any Footprints licensed by Licensee, and
common utility conduits or shafts connecting the Antenna Mounts
with the Footprints used by Licensee are herein collectively called
the "Equipment Space". The Equipment Space shall be used for the
purpose of installing, operating and maintaining the radio
communication equipment which is described on Exhibit C attached to
this License (hereinafter called the "Equipment") and for
connecting the Antenna Mounts to the Footprints by means of coaxial
or other cable. In addition to the right to use the Equipment
Space, Licensor shall furnish, at Licensee's cost, heating,
lighting, ventilating, air conditioning, water, power, and fuel
("Utilities") to the Equipment Space, twenty-four (24) hours per
day, seven (7) days per week. Licensor shall additionally provide
emergency electrical services, twenty-four (24) hours per day,
seven (7) days per week, through emergency generators, at no cost
to Licensee, other than as a component of the Base License Fee (as
defined in paragraph 2 hereof) . Licensee understands that Licensor
shall designate the portions or areas of the Building to be used as
Equipment Space. Licensee's use of the Antenna Mounts and the
Footprints licensed hereunder shall be exclusive, but Licensee's
use of the other Equipment Space shall be nonexclusive, and
Licensor shall at all times have access to such Equipment Space for
the purpose of operating, maintaining, repairing, or improving the
Building, and Licensor may grant licenses to other tenants to use
portions of the Equipment Space, other than the Antenna Mount or
the Footprints, so long as such use does not unreasonably intgr ere
with Licensee's use.

2. License Fees and Utility Costs. For the first two (2)
years of the Term, Licensee agrees to pay to Licensor as a license
fee for the Equipment Space the sum of $11, 000.00 per month (the
"Base License Fee") . The Base License Fee shall be adjusted
annually each year thereafter based upon increases in the Consumer
Price Index - All Urban Consumers ("CPI") . Commencing on the
second anniversary of the Commencement Date, the Base License Fee
shall be increased (but never decreased) by the amount of the CPI
increase from the month during which the Commencement Date occurs
("Base Month") compared to the annual anniversary of the
Commencement Date ("Adjustment Month") . The Base License Fee is
payable monthly, in advance, on the first day of each month of the
Term, commencing on November 1, 1992 ("Commencement Date") ; and
continuing thereafter on the first day of each month during the
Term hereof. Effective upon the commencement of installation of
any Equipment in the Equipment Space, Licensee shall additionally
pay all costs of Utilities to the Equipment Space ("Utility Costs) .
Such Utility Costs shall be payable within thirty (30) days of
invoice and shall be determined by a separate meter to be installed
and maintained at Licensee's sole costs. Monthly Utility Costs
shall include a $50.00 per month meter reading charge. The failure
by Licensee to timely pay the Base License Fee or the Utility Costs
shall result in interest accruing thereon at the prime lending rate
of NCNB, Texas plus five percent (5%) .
3. Term; Removal of Equipment; Renewal of Term. The term of
this License shall be ten (10) years and shall begin on the
Commencement Date and shall end on October 31, 2002, subject to
earlier termination solely in the event that payments for the Base
License Fee are not appropriated as described in paragraph 13
hereinbelow. Licensee shall, prior to the expiration or
termination of this License, remove the Equipment (including all
installation and anchoring hardware) installed in the Equipment
Space and surrender the Equipment Space in substantially the same
condition existing prior to the installation of the Equipment,
subject to the renewal right hereinafter set forth. Licensee shall
be liable for, and shall promptly reimburse Licensor for, the cost
of repairing all damage done to the Equipment Space or the Building
by such removal, including filling and sealing any holes or
cavities left by the removal of installation or anchoring hardware.
Provided that License is not in default under the License at the
time of any renewal or upon the renewal date and is occupying and
operating its Equipment from at least eighty-five percent (85%) of
the Footprints, Licensee may renew this License for two (2) five
(5) year renewal terms. Such renewals shall be exercised by twelve
(12) months written notice prior to the end of the Term, as it may
have been extended. The Base License Fee shall be at the then
prevailing rate for equipment space on the roof of the Building;
4. Installation of the Equipment. Licensee shall,"at. .i

communications, and safety codes, ordinances, standards,
regulations and requirements of the Federal Government, including,
without limitation, the Federal Communications Commission (the
"FCC") or an successor agency having jurisdiction over radio or
telecommunications, the State of Texas, and the city and county in
which the Building is located. Licensee shall submit to Licensor
plans for the installation of the Equipment for review and approval
by Licensee prior to commencing installation of the Equipment.
Licensee shall not commence installation of the Equipment without
the prior written consent of Licensor, which consent shall not be
unreasonably withheld. In the event that Licensee installs or
repairs any Equipment, Licensee shall not damage the building or
existing structures on the Building, or interfere with the
maintenance of the Building, any system currently serving the
Building, or any radio or telecommunication equipment currently
being operated from the Building. Licensee shall notify Licensor
upon completion of any installation or repair of the Equipment by
Licensee and Licensor shall have ten (10) days after installation
of the Equipment in which to inspect the installation. Licensee
shall not commence operation of any Equipment until Licensor has
approved the installation, which approval shall not be unreasonably
withheld. Licensor shall make available to the Equipment Space
standard primary electrical power supply of 120 volts AC power for
the operation of the Equipment. Licensee shall be solely
responsible for all costs incurred in connecting the Equipment to
Licensor's power supply. The Equipment shall be connected to
Licensor's power supply in strict compliance with all applicable
building, electrical, fire and safety codes. Licensor shall not be
liable to Licensee for any stoppages or shortages of electrical
power furnished to the Equipment Space because of any act,
omission, or requirement of the public utility serving the
Building, or the act or omission of any other tenant or licensee of
the Building, or for any other cause beyond the control of
Licensor, and Licensee shall not be entitled to any abatement of
the Base License Fee for any such stoppage or shortage of
electrical power.
5. Licensee Improvements. Licensor shall, at its sole cost
and expense, except for $25,000.00 of such cost which shall be paid
by Licensee, construct the improvements for Licensee. Such
improvements shall be completed in accordance with plans and
specifications dated November , 1991, prepared by Staffelbach
& Associates and dated May 13, 1991, prepared by Motorola
(collectively, the "Plans") . Licensee acknowledges that it has
fully approved the Plans and that Licensee shall pay any additional
construction costs incurred by Licensor as a result of revisions to
the Plans by Licensee. Licensor's contractors shall construct the
improvements under the sole direction of Licensor, by the
Commencement Date and Licensee shall have accepted, the
improvements, but for the completion of any punch list items \ y
the Commencement Date.

6. Access to the Equipment. Licensor agrees that Licensee
shall have access to the Equipment Space, on a twenty-four (24)
hour per day, seven (7) day per week basis, for the purpose of
installing, operating, maintaining, repairing, and removing the
Equipment, provided, however, that such access shall be limited to
authorized engineers of Licensee, or persons under their direct
supervision. Licensee shall deliver to Licensor a list. of
Licensee's authorized representatives, repair, maintenance, and
engineering personnel prior to any access to the Equipment Space,
and those persons shall be required to sign in and out with
Licensor's security personnel when entering or exiting the
Equipment Space. Licensor shall have no responsibility or
liability for the conduct or safety of any of Licensee's
representatives, repair, maintenance, and engineering personnel
while in any part of the Building or the Equipment Space, it being
understood and agreed that Licensee shall be solely liable for any
injury to or death of any such person from any cause.
7. Operation of the Equipment. Licensee shall install,
maintain, and operate the Equipment in strict compliance with the
technical standards contained in Exhibit D, attached hereto, and
with all applicable Licensor's rules and regulations, now or
hereafter reasonably promulgated, and all applicable statutes,
codes, rules, regulations, standards, and requirements of all
Federal, state, and local governmental boards, authorities, and
agencies, including, without limitation, the FCC. Licensee, prior
to installing the Equipment, shall obtain all required permits,
licenses, and consents to install and operate the Equipment, and
shall deliver copies of same to Licensor. The operation of the
Equipment shall not interfere with the maintenance or operation of
the Building, or any system now or hereafter serving the Building,
or the operation of any existing radio or telecommunication
equipment operated on or from the Building. In the event that the
operation of the Equipment causes such interference in violation of
the terms or conditions of this Paragraph 7, Licensee agrees to
immediately take all actions necessary to correct such
interference, according to and in compliance with FCC rules and
regulations concerning interference, or to promptly remove the
Equipment if such interference cannot be corrected. If removal of
the Equipment is necessary, then this License will not terminate,
and Licensee shall pay the Base License Fees due hereunder if ten
percent (10%) or less of the Antenna Mounts or ten percent (10%) or
less of the Footprints are terminated. In the event that more than
ten percent (10%) or the Antenna Mounts and/or Footpri-nts are
terminated, Licensee will have no further ob i, ,ado to retake

Licensee refuses to correct such interference, .,` iaov6 the
Equipment if such interference cannot be corrected,when notified
by Licensor, or in the event of an emergency which could result in

bodily injury to persons or property damage or cause the other
rooftop space users to not be able to use their antenna and radio
equipment, Licensor shall have the right to suspend the supply of
electric power to the Equipment, and Licensor shall have no
liability to Licensee, and Licensee shall have no right to an
abatement of Base License Fees, for such suspension, but this
License shall terminate, with no further payment by Licensee, when
Licensee removes the Equipment. For purposes of the foregoing,
notification in writing to Licensee of Spectral Impurity (as
hereinafter defined) shall constitute interference with existing
radio or telecommunication equipment operated from the Building,
and Licensee shall immediately take all steps necessary to correct
the same, according to applicable FCC rules and regulations. If
Licensee has not corrected any such Spectral Impurity within five
(5) days after written notice from Licensor, Licensee shall remove
the equipment from the Building. The term "Spectral Impurity"
shall mean the failure of Licensee's Equipment to meet all of the
following standards:
(a) All transmitting and receiving equipment shall at a
minimum, meet or exceed applicable FCC Rules and Regulations
and all appropriate EIA standards, including, without
limitation, the most current (as of any date during the term)
revision of RS-152 and RS-204; and
(b) All transmitter generated third-order intermodulation
products shall be attenuated at lease 70 db, relative to the
level of the extraneous mixing signal; and
(c) The transmitter side-band spectrum shall be attenuated
to a level no greater than:
(1 -100 dBc at ± 25 Khz from the carrier
(2) -110 dBc at ± 1 Mhz and beyond from the carrier (dBc
denotes decibel level below carrier amplitude level. )
S. Other Radio or Telecommunication Equipment. During the
Term hereof, Licensor reserves the right to lease space in the
Building, and to grant licenses for space on the roof of the
Building, for the operation of radio and telecommunication
equipment by other tenant and licensees; provided, however, that
such other equipment shall not unreasonably hinder or interfere
with Licensee's installation, operation, maintenance, or repair of
the Equipment. Licensor agrees to use all reasonable efforts to
ensure that the operation of equipment under any license granted
after the Commencement Date of the License will not interfere with
or hinder the operation of Licensee's Equipment.
9. Indemnification of Licensor: Insurance. License
hereby agrees to be responsible for any and all ce5R7,� C3; ,�
damages, cause of action, and liability which may a ►��b� reason

of any occurrence attributable to or arising out of the
installation, maintenance, repair, operation, or removal of any of
the Equipment, including, without limitation, any claim or cause of
action for injury to or death of any person or damage to any
property. Licensee shall, at its sole cost and expense, obtain and
keep in force during the term hereof: (a) comprehensive general
liability insurance in limits not less than $1,000,000.00
inclusive, covering the installation, repair, maintenance,
operation, and removal of the Equipment and (b) Worker's
Compensation and employers' liability insurance. Licensee, as a
political subdivision of the State of Texas, may provide self-
insurance for any such claim of liability, for bodily injury or
property damage, or worker's compensation. Licensee shall provide
a statement of self-insurance to Licensor, upon written request.
10. Notices. Any written information, questions, notices, or
correspondence pertaining to this License shall be sent by United
States mail, postage prepaid to the following address or such other
address as may be specified in writing from time to time:

11. Licensor's Rules . and Regulations. Licensor shall have
the power, from time to time, to promulgate by written notice to
Licensee all reasonably necessary or appropriate rules or
regulations governing the operation of the Equipment, access to the
Equipment Space, transportation of Equipment into and�f' the
Building, and other matters, to insure the s s � M
operation of the Building, and Licensee covenantd�iGlu' gees to

12. Defaults; Remedies. It shall be a defa lit u �.t
License if (a) Licensee shall fail to pay any Base L ddn4� ries-cW6
hereunder as and when due; (b) Licensee shall fail to''iYay any other
sum payable to Licensor hereunder when due, or (c) Licensee shall
fail to observe and comply with any of the terms, conditions,

covenants, and agreements to be observed and complied with by
Licensee hereunder. Licensor agrees to give written notice to
Licensee of any default and opportunity to cure. If any default of
any Base License Fees, or any other payment obligation of Licensee,
shall continue for a period of sixty (60) days after written notice
or, in the case of any other default, if reasonable steps have not
been taken to cure the default within thirty (30) days after
written notice, Licensor shall have the right to exercise all legal
remedies for default, including the right to suspend the supply of
electric power to the Equipment until the default is cured by
Licensee, or to remove the Equipment from the Equipment Space and
hold the Equipment for Licensee's removal, without, in either
instance, liability to Licensee, and without abatement of the Base
License Fee.
13 . Licensee's Right to Terminate. Notwithstanding anything
to the contrary herein contained, Licensor acknowledges that funds
for payment of the Base License Fee are appropriated by Licensee
annually, for fiscal year periods beginning October 1 and ending
September 30 of each year. If funds are not appropriated by the
Fort Worth City Council to pay the Base License Fee beyond
September 30, 1992, or for any subsequent fiscal year period during
the initial term or any renewal term of this License, the Licensee
may terminate this lease on the last day of the fiscal year for
which appropriated funds are available to pay the Base License Fee.
Licensee will give Lessor thirty (30) days written notice of non-
appropriation of funds. During the Term, Licensee will not lease
or license space at another facility in Tarrant County, Texas if
Licensee terminates this License because of non-appropriation of
funds.

TO
ROOFTOP LICENSE
TECHNICAL STANDARDS FOR INSTALLATION,
OPERATION, AND MAINTENANCE OF THE EQUIPMENT
1. All transmitters operating in the range of 30 to 900 MHz must
have a Ferrite Isolator with a minimum of 25 dB rejection in
the reverse direction. This should be installed between the
transmitter and the cavity or duplexer combiner.
2. For those stations without duplexers, a low pass filter or
bank pass cavity must be placed between the isolator and the
antenna.
3. The transmission cable must be the polyethylene jacketed
Heliax type only, and secured by either black nylon tie wraps
or insulated wire. Excessive transmission line cable must be
removed.
4. Cabling between main coax feedline, isolators, duplexers,
cavities, and the transmitter must be double shielded RG-9
coaxial cable or Heliax type cable.
5. All radio equipment must be housed in RF tight metal
enclosures, and properly bounded to the common grounding
system.
6. All antennas will be fiberglass enclosed "pole type" antennas.
No bi-metallic loop antennas will be permitted. Only Phelps
Dodge "Station Master" fiberglass type antennas, Decibel
Products, Inc. #DB-258 type antennas, or approved equal can be
used.
7 All antennas and their associated support mounting structures
must be capable of surviving 100 mph winds.
8. The location and mounting of all antennas will be designated
by the Licensor's site coordinator. This is shown on Exhibit
A to the License. Changes must be approved in writing by the
Licensor's site coordinator. Any antenna or cable failing to
meet the above standards will be removed from the building.
9. All coaxial cabling will be secured to structure members or
walls using stainless steel coaxial clamps. All cablingwLI1

FIRST AMENDMENT TO
ROOFTOP SPACE LICENSE
s First Amendment to Rooftop Space License (the "First Amendment") is entered into as of
the l day of r , 2002, by and between Burnett Plaza Associates, a Texas joint venture
("Licensor")and City of Fort Worth("Licensee").
W I T N E S S E T H:
WHEREAS, on or about March 31, 2002, Licensor and Licensee entered into that certain
Rooftop Space License ("License") for use of(i) eleven (11) antenna mounts for a 40 channel 800 mhz
trunked radio system, and (ii) 65 footprints for radio cabinets (collectively, the "Equipment Space"),
located on the roof of the building commonly known as Burnett Plaza located in Fort Worth,Texas (the
"Building")which by this referenced the License is incorporated herein for all purposes.
WHEREAS, Licensor and Licensee desire to extend the Term of the License through the period
ending on October 31,2007.
NOW, THEREFORE, for and in consideration of the mutual terms and conditions expressed
herein and for other good and valuable consideration,the parties hereto hereby agree as follows:
1. The Tenn is hereby extended from the period ending on October 31, 2002 through the
period ending on October 31, 2007 (the "Extension Term"). All references in the License to the
expiration of the Term or the expiration date shall be deemed to refer to the Extension Term ending on
October 31,2007.
2. Effective November 1, 2002, the License Fee shall be $13,500.00 per month. Effective
November 1 st of each year thereafter through the expiration of the Extension Term, the License Fee shall
be increased by three percent (3%) per annum. Paragraph 2 of the License is amended to delete all
references to CPI and adjustments to the License Fee. Licensee shall pay utility costs during the
Extension Tenn pursuant to paragraph 2 of the License.
3. Pursuant to paragraph 3 of the License,Licensee,before exercising this extension option,
has one (1) remaining extension option exercisable upon twelve(12) months written notice delivered to
Licensor prior to the expiration of the Extension Tenn.
4. Paragraph 10 of the License is amended to provide that Licensor's address for notices is
as follows:

THIS SECOND AMENDMENT TO ROOFTOP SPACE LICENSE(this "Second
Amendment")is entered into effective as of November 1,2006 by and between the City of I
Fort Worth ("Licensee") and Behringer Harvard Burnett Plaza LP, a, a Texas limited j
partnership, ("Licensor"). !

A. Burnett Plaza Associates, a Texas joint venture ("Original Licensor") and
Licensee entered into that certain Rooftop Space License For Antenna And Radio
Communication Equipment dated March 31, 1992, (as amended by First Amendment to
Rooftop Space License dated as of September 17, 2002, the "License") for use of the
Equipment Space(as defined therein)on the roof ofthe building known as Burnett Plaza and
located at 801 Cherry Street, Ft. Worth,Texas(the"Building").

B. All of Original Licensor's right, title and interest in the License has been
assigned to Licensor.

C. Licensor and Licensee desire to extend the Term of the License,modify the
Base License Fee payable under the License,and otherwise amend the License as set forth in
this Second Amendment.

Accordingly, for good and valuable consideration which the parties acknowledge
receiving,Licensor and Licensee agree as follows:

AGREEMENT
1. Recitals. The above Recitals are incorporated into this Second
Amendment.
2. Application of License Terms. Capitalized terms used in this Second
Amendment and not defined herein shall have the meanings ascribed to them in the License.

3. Extension of Term. The Term is extended from the period beginning on
October 31, 2007 through the period ending on September 30, 2012, unless sooner
terminated or extended by written agreement of the parties(the"Second Extension Term").
All references in the License to the expirations of the Term or the expiration date of the
License shall be deemed to refer to the Second Extension Term ending on September 30,
2012. Licensee shall have one option to extend the Term for a five(5)year period beyond
the above expiration date,which option may be exercised only by providing written notice of
same to Licensor on or before September 30,2011. The Base License Fee for such five year
extension period shall be at the then prevailing rate for equipment space on the roof of the
Building.

4. License of Additional Antenna Mounts. Effective November 1, 2006,
Licensor hereby grants to Licensee, and Licensee hereby accepts from Licensor under the
terms of this License, a license for four (4) additional Antenna Mounts (the "Additional
Antenna Mounts") in the locations set forth on Exhibit A attached to this Second
Amendment. Licensee shall license the Additional Antenna Mounts from November 1,2006
through the Second Extension Term. Section 1 of the License is amended to provide that
from and after November 1, 2006, the term"Antenna Mounts,"wherever it appears in the
License, shall include not only the eleven (11) existing Antenna Mounts, but also the
Additional Antenna Mounts(for a total of fifteen(15)Antenna Mounts under the License),
and the Additional Antenna Mounts shall,from that date,be subject to all of the applicable
terms and conditions of the License, as modified hereby. Licensee accepts the Additional
Antenna Mounts in their then-existing condition as of the date Licensee takes possession of
same.

5. Base License Fee for Equipment Space. Effective November 1,2006 and
continuing through the Second Extension Term, Licensee shall pay the Base License Fee for
the Equipment Space pursuant to the schedule attached to this Second Amendment as E
Exhibit B. Asset forth in Exhibit B,starting on October 1,2007,the Base License Fee shall
be increased by two percent(2%)per annum. Section 2 of the License is hereby amended to
delete all references to the Base License Fee being increased by 3% per annum. From c
November 1, 2006 through the Second Extension Term, Licensee shall continue to pay
Utility Costs. Licensee shall pay all Base License Fees and Utility Costs at the times and
place, and in the manner, provided in the License.
6. Right of First Refusal for Antenna Mounts.
a) "Offered Locations" shall mean any one or more of the nine (9)
antenna mount locations depicted on Exhibit A attached hereto, which are the subject of a
Proposed License.
b) Provided that as of the date ofthe giving of an Offer Notice,Licensee
is not in default under this License and Licensee is using all of the Equipment Space, if at
any time during the Term any license or use agreement for any of the Offered Locations shall
expire and if Licensor intends to enter into a license or use agreement for such Offered
Locations with anyone(a"Proposed Licensee")other than the then current user such space E
(or its affiliates) Licensor shall first offer to Licensee the right to include the Offered
Locations within the Equipment Space under the License upon all of the applicable terms
and conditions of this License, including the Base License Fee payable hereunder.
C) Such offer shall be made by Licensor to Licensee in a written notice }
("Offer Notice")which offer shall designate the space being offered. Licensee may accept
the offer set forth in the Offer Notice by delivering to Licensor an unconditional acceptance
(hereinafter called"Licensee's Notice")of all of the terms and provisions of the Offer Notice
within five(5)business days after delivery of the Offer Notice to Licensee. Time shall be of
the essence with respect to the giving of Licensee's Notice. ]f Licensee does not accept(or
fails to timely accept) an Offer Notice, Licensor shall be under no further obligation with
respect to such Offered Locations by reason of this Exhibit.
d) Licensee must accept all Offered Locations offered by Licensor at any
one time if it desires to accept any of such Offered Locations and may not exercise its right
with respect to only a portion of such Offered Locations. If Licensee declines any Offered
Locations offered by Licensor in an Offer Notice, Licensee shall be deemed to have
irrevocably waived all further rights under this Exhibit as to such Offered Locations, and
Licensor shall be free to license the Offered Locations to the Proposed Licensee or any other
person including on terms which may be less favorable to Licensor than those set forth in the
Proposed License.
e If Licensee timely delivers Licensee's Notice accepting all provisions

of the Offer Notice,the parties shall promptly thereafter execute and deliver an amendment R
to this License adding the Offered Locations as a part of the Equipment Space under all of
the then-applicable terms and provisions of this License, including without limitation the
then-applicable Base License Fee set forth in the schedule attached as Exhibit B.

f) The rights set forth in this Section 6 are personal to Licensee and may
not be assigned,transferred or delegated in whole or part without the prior written consent of
Licensor,and any attempted assignment in violation hereof shall be null and void and of no
effect.

7. Improvements and Equipment. In connection with the Additional
Antenna Mounts and any antenna mounts added to this License under the Right of First
Refusal set forth above,Licensee shall,at its sole cost, a)install and operate any Equipment
in compliance with the terms and provisions of the License applicable thereto, and b)
construct any improvements pursuant to plans and specifications, and using contractors,
approved in advance by Licensor,and otherwise in accordance with the terms and provisions k
of the License applicable thereto.

8. Termination Right. Licensee's right to terminate this License pursuant to
Section 13 of the License shall continue during the Second Extension Term. f
9. Counterpart Execution. This Second Amendment may be executed in
multiple counterparts, each of which shall be fully effective as an original, which together i
shall constitute only one(1) instrument. j

11. No Default. Licensee acknowledges that as ofthe date hereof,Licensor has
performed all of its obligations under the License, Licensor is not in default under the
License, and Licensee has no claims, counterclaims, set-offs or defenses against Licensor .

12. Limitation of Liability. Any liability of Licensor to Licensee(or any person
or entity claiming by, through or under Licensee) for any default by Licensor under the F
License or any matter relating to the Equipment Space or the Equipment shall be limited to
Licensor's interest in the Building.

13. Miscellaneous. Unless amended herein,all other provisions of the License
shall continue in full force and effect and are in all respects ratified and confirmed hereby,
provided, however, that nothing in this Second Amendment shall be deemed a waiver or
release of any unperformed obligations of Licensee under the License.

It is recommended that the City Council:
1. Amend M & C C-13208, dated January 14, 1992, to authorize execution of a lease agreement
with Burnett Plaza Associates for rooftop antenna and floor space on Burnett Plaza with an initial
term of ten (10) years, expiring October 31, 2002, with the right to renew for two (2) consecutive
terms of five (5)years each, as provided in City Secretary Contract ("CSC")No. 19032; and
2. Approve expenditures in accordance with CSC No. 19032 for an amount not to exceed
147,600.00 per year, to be adjusted for any increases in the CPI, as provided by CSC No. !
19032.

DISCUSSION:
M&C C-13208, dated January•14, 1992, authorized the City Manager to execute a five year lease
agreement with Burnett Plaza Associates for floor space and antenna requirements for the City's
Trunked Radio Systems. However, CSC No. 19032 ("Lease"), the lease that was negotiated with
Burnett Plaza Associates, provided for an initial term of ten (10) years, expiring October 31, 2002, with
the right to renew for two (2) consecutive terms of five (5) years each. The Lease also contains a
funding-out clause which allows the City to terminate the Lease in the event that funds are not
appropriated for payments in future years. Because this site is the prime site for the City's Trunked
Radio Systems for the provision of radio coverage to Public Safety and Local Government users of the
City of Fort Worth and client partners, staff recommends a continuation of the arrangement with Burnett
Plaza Associates as provided in the Lease. in addition to annual rent, utility costs are estimated to be
$15,000 per year.
FISCAL INFORMATION/CERTIFICATION:
The Director.of Fiscal Services certifies that funds are available in the current operating budget, as
appropriated, of the Information Systems Fund.
