HANGAR LEASE AGREEMENT

This AMENDMENT NO. 1 TO CITY SECRETARY CONTFTCT NO 20280 J
j "Agreement" ) is made and entered into by and between the CITY OF
FORT WORTH ( "Lessor" ) , a home, rule municipal corporation situated
in Tarrant County, Texas acting by and through its duly authorized

Assistant City Manager,,. and TEXAS AVIONICS, INC. d/b/a TEXAS
AVIATION SERVICES ( "Lessee" ) , acting by and through Carl D.
Woodard, its duly authorized President.
WHEREAS, Lessor and Texas Avionics, Inc. previously entered
into City Secretary Contract ( "CSC") No. 20280, a lease of hangar
space
and additional improved and unimproved ground space
(Collectively "Leased Premises" ) at Port Worth Meacham
International Airport ( "Airport") ; and

WHEREAS, Texas Avionics, Inc. now operates as Texas Avionics,
Inc. d/b/a Texas Aviation Services; and
WHEREAS, CSC No. 20280 provides for a thirty (30) year term,
provided that Lessee constructs an approximately 7,500 square foot
addition to the existing hangar space on the Leased Premises in
accordance with certain other restrictions, and that failure to
perform such construction shall reduce the term to fifteen (15)
years; and
WHEREAS, CSC No. 20280 prohibits Lessee from its pro-7ision of
ground transportation, automobile rentals and food sales; and
WHEREAS, Lessor and Lessee mutually desire to amend CSC No.
20280 to provide for a thirty (30) year term without a conditional
construction requirement; to allow Lessee to provide ground
transportation, automobile rentals and food sales, and potentially '
other concessions at the Airport; to reference Lessee's new
operational name; and to update the parties' mailing addresses;
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
Lessee shall hereafter be referred to as Texas Avionics, Inc.
d/'D/a Texas Aviation Services.

Section 1 of CSC No. 20280 is hereby amended to read as
follows:
"The term of this Lease shall be for a period of thirty (30)
years beginning April 15, 1994 and ending April 14, 2024. "
The second paragraph of Section I of CSC No. 20260, which
imposes a requirement that Lessee construct approximately 7, 500
square feet of additional hangar space to the hangar existing on
the Leased Premises Eod imposing a fifteen ( 15) year reduction to
the term if Lessee -fails 'to construct such hangar space by April
15, 1996, is hereby deleted in its entirety.

Section 7 of CSC No. 20280 is hereby amended to delete
Lessee's prohibition from the provision of ground transportation
for hire, automobile rental, and food sales. Lessor and Lessee
agree that' Lessee -may provide additional concessions immediately
upon receipt of written approval from the Director of Airport
Systems or designee.

Section 16 of CSC No. 20280 is hereby amended to reflect the
following updated mailing addresses of the parties:.

REC Q'MMENDATION:
It is recommended that the City Council authorize the City Manager to execute an amen I dment
to City Secretary Contract(CSC) No, 20280, Hangar Lease Agreement with Texas Avionics, Inc.,
d/b/a Texas Aviation Services, for Hanger 4 North at Meacham International Airport.
DISCUSSION:
Texas Avionics, Inc., d/b/a Texas Aviation Services (TAI), leases Hangar 4 North under CSC No.
20280, approved by the City Council on January 25, 1994 through M&C C-14157.
TAI requests -the following two amendments to the above-referenced agreement:
1 . Section 1. TERM. The lease requires that TAI construct approximately seven thousand
five hundred (7,500) square feet of additional hangar space onto the existing hangar by
April 28, 1996. Faiiure to do so will automatically lead to a redtt,-,ion in the term of the
Lease from 30 years to 15 years. TAI is requesting that this requirement be deleted from
the lease. Since execution of the lease, TAI has made significant remodeling changes to
the interior of their existing hangar and has [eased an additional 29,000 square feet of
hangar -,pace at the aimort. These actions were at considerable expense and provide the
proof of TAI's dedication to expand its capabilities. Deleting the above language will keep
the lease term at 30 years. Staff recommends deleting this language..
2. Section 7. CONCESSIONS PROHIBITED.. The lease prohibits TAI's from the provision of
(1) concessions and of (2) grcunt! transportation for hire and auto rental. TAI requests a
waiver for these two items. Staff does not foresee any future problems with giving TAI
this waiver and recommends the waiver.
All other terms and conditions of the lease agreement will be in accordance with standard City
and Department of Aviation policy.
A recommendation from the Aviation Board is riot deemed necessary for this agreement.
