This Second Amendment to City Secretary Contract Number 58834 ("Second Amendment") is made by and between the City of Fort Worth ("City"), a Texas home -rule municipal corporation, and ASSOCIATED SUPPLY COMPANY, INC., a Texas corporation ("Vendor"). WHEREAS, the City and Vendor entered into a cooperative purchase agreement for City to purchase heavy duty off -road equipment from Vendor, City Secretary Contract Number 58834 ("Agreement"); and WHEREAS, the City and Vendor amended the Agreement to add additional equipment, City Secretary Contract Number 58834-A1; and WHEREAS, the City and Vendor desire to amend the Agreement to add additional equipment that City may purchase from Vendor pursuant to the Agreement; NOW THEREFORE, City and Vendor, acting herein by the through their duly authorized representatives, agree to amend the Agreement as follows: Exhibit A of the Agreement is amended to add the information set forth in Exhibit A of this Second Amendment which is attached hereto and incorporated herein by reference. 2. a. PMD staff evaluated Buy Board contract 685-22 and found that it meets the requirements for various heavy-duty off -road equipment the City of Fort Worth is needing to purchase for various departments. Warranty information, manufacturer's Statement of Origin and original sales invoice will accompany the new unit upon acceptance and delivery. The old units will be sold at auction upon delivery and acceptance of the new equipment. Prices under the Buy Board contract 685-22 were compared and a discount will be applied under the contract. AGREEMENT TERMS - Upon City Council's approval, this agreement shall begin upon execution and expire on November 30, 2023. RENEWAL TERM - This agreement may be renewed automatically for up to (2) two one-year terms at the City's option. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal term. COOPERATIVE PURCHASE - State law provides that a local government purchasing items under a Cooperative Purchasing Agreement satisfies state laws requiring that the local government seek competitive bids for purchase of the item. Buy Board contracts were competitively bid to increase and simplify the purchasing power of local government entities across the State of Texas. M/WBE OFFICE - A business equity goal is not assigned when purchasing from an approved purchasing cooperative or public entity. ADMINISTRATIVE CHANGE ORDER - An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated.
