HomeMy WebLinkAboutContract 57761-A1R1CSC No. 57761-AlR1 FIRST AMENDMENT AND FIRST RENEWAL OF CITY SECRETARY CONTRACT NO. 57761, A PROFESSIONAL CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND SUSAN ALLEN KLINE This FIRST AMENDMENT AND FIRST RENEWAL OF CITY SECRETARY CONTRACT NUMBER 57761 ("First Amendment and First Renewal") is made and entered into by and between the CITY OF FORT WORTH ("City"), a home -rule municipal corporation of the State of Texas, acting by and through its duly authorized Assistant City Manager, and SUSAN ALLEN KLINE, a natural person and Texas Historic Preservation Consultant ("Contractor"). City and Contractor are each individually referred to as a ("Parry") and collectively referred to as the ("Parties"). The term "Contractor" shall include Contractor, its officers, agents, employees, representatives, contractors, or subcontractors. The term "City" shall include its officers, employees, agents, and representatives. WHEREAS, on June 30, 2022, the City and Contractor entered into a Professional Consulting Services Agreement for Contractor to assist the Park & Recreation Department with researching, editing, and writing the revised and updated History of the Fort Worth Parks book, the same being Fort Worth City Secretary Contract ("CSC") Number 57761 ("Agreement"); WHEREAS, the Agreement provides a primary term of one-year and includes two (2) one-year renewal periods (each a "Renewal Term"); WHEREAS, the Parties wish to amend the Agreement to increase the length of the renewal options from two (2) one-year periods to five (5) one-year periods to allow the Contractor to effectively accomplish the services outlined in this Agreement; WHEREAS, the Parties further desire to amend the Agreement to increase the aggregate amount of the Agreement from $15,000.00 to $49,000.00; WHEREAS, the primary term expired on June 29, 2023; WHEREAS, it is the collective desire of the Parties to exercise the first renewal term; and NOW, THEREFORE, the City and Contractor agree to amend and renew the Agreement as follows: I. Section 2, "Term", of the Agreement is hereby amended to read as follows: The initial term of this Agreement is for one (1) year, beginning on the date that this Agreement is executed by the City's Assistant City Manager ("Effective Date"), unless terminated earlier in accordance with the provisions of this Agreement or otherwise extended by the Parties. This Agreement may be renewed for five (5) one-year renewal periods (each a "Renewal Term") upon written agreement of the Parties. OFFICIAL RECORD CITY SECRETARY FT. Section 3, "Compensation", of the Agreement is hereby amended to increase the aggregate amount of the Agreement from $15,000.00 to $49,000.00, to read as follows: "City shall pay Contractor an amount not to exceed Forty -Nine Thousand Dollars and Zero Cents ($49,000.00) in accordance with the provisions of this Agreement and Exhibit B. Contractor shall not perform any additional services for the City not specified by this Agreement unless the City requests and approves in writing the additional costs for such services. The City shall not be liable for any additional expenses of Contractor not specified by this Agreement unless the City first approves such expenses in writing. Contractor shall submit written invoices to the City on a monthly basis. City agrees to pay all invoices of Contractor in accordance with the applicable provisions of Chapter 2251 of the Texas Government Code." 3. Exhibit A, Scope of Services, of the Agreement is hereby amended to include a modified project completion time, as set forth in Exhibit A-1, attached hereto and incorporated herein by reference. 4. Exhibit B, "Compensation", of the Agreement is hereby amended to include a revised payment scheduled, as set forth in Exhibit B-1, attached hereto and incorporated herein by reference. II. City and Contractor hereby agree to renew and extend the Agreement for the first one-year renewal term effective beginning on June 30, 2023 and expiring on June 29, 2024. 1. All other terms and conditions of the Agreement remain in full force and effect except as specifically set forth in this First Amendment and First Renewal. 2. All terms of this First Amendment and First Renewal that are capitalized but not defined have the meanings assigned to them in the Agreement. WORTH, TX First Amendment and First Renewal of CSC 57761 Page 3 of 5 EXHIBIT A-1 Contractor shall assist the Park & Recreation Department with researching and updating the History of the Fort Worth Parks book as outlined below. Contractor shall work closely with the Park & Recreation Department staff to ensure consistent project updates and clear communication. Contractor's main point of contact with the City for meetings, telephone conference calls and emails shall be Deborah J. Branch. Contractor shall use Contractor's own equipment, supplies and office to perform the Services. Contractor shall travel to City offices as needed or requested for meetings with City staff. 1. Complete work incorporating Fort Worth staff edits to History of Fort Worth Parks from draft completed during original contract from June 29, 2022 to June 29, 2023. 2. Include intro to history book to be written by Richard Zavala. 3. Add any new parks or facilities that come on line during the term of this first renewal. 4. Update Park board members during term of this first renewal. 5. Complete any other edits as requested and agreed upon. First Amendment and First Renewal of CSC 57761 Page 4 of 5 EXHIBIT B-1 Contractor shall deliver completed work to City staff with each monthly invoice. Contractor's fee for labor shall be $50.00 per hour. City shall reimburse Contractor for clerical expenses. Any additional expenses of Contractor must be approved by the City prior to Contractor incurring said expenses. Contractor shall contact Deborah J. Branch for approval of any additional expenses. The total fee, including expenses, paid to Contractor for the Services shall not exceed a cumulative project total (for all years of future renewals) of $49,000.00.
