AMENDMENT TO
CITY SECRETARY CONTRACT NO. 25503
INVENTORY AUDIT AND RECONCILIATION AGREEMENT
This AMENDMENT (hereafter "Amendment") is entered into by and between the City
of Fort Worth (hereafter "City" or "Customer") and Carolyn Arnold Communications
Consultant, Inc., (hereafter"Consultant" or"CACC"), individually referred to as a "Party" and
collectively referred to as the"parties."
RECITALS
WHEREAS, the parties previously made and entered into City of Fort Worth City
Secretary Contract ("CSC") No. 25503 on or about November 19, 1999 (hereafter the
"Agreement'); and
WHEREAS, the Agreement involves audit and reconciliation of services and billing for
telephone utilities; and
WHEREAS, the Agreement provided for automatic renewal terms and services for all
City locations; and
WHEREAS, the parties now wish to arnend the Agreement to modify the term and
clarify the services as set forth in this Amendment.
NOW THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives,enter into the following agreement:
SECTION 1.
SERVICES,shall he modified to add the following:
• The scope of services for this Agreement shall be limited to recovery of payments.
adiustments, credits and refunds (hereafter "Refimds") for the time period from January
1- 1995 to December 31- 2000 (hereaher"Recovery Period").

the term of this Agreement or any extension thereof. Such compensation to be due with respect
to each Refund within tent (10) business days after the date of the remittance of a Refund issued
by Vendor and received by Customer. The audit shall be confined to the Recovery Period."
SECTION 3.
TERM, shall be amended to expire upon completion of all services and recovery and
remittance of all Refunds due to the City for the Recovery Period, or no later than March 31,
2012 ("Expiration Date"), unless otherwise agreed to in writing by an authorized representative
of each party. The term shall have no regular or annual renewals. The Agreement shall expire on
its terms upon the occurrence of the Expiration Date and shall not require any further written
notice from either party to effectively terminate.
SECTION 4.
All other provisions of the Agreement that are not expressly amended herein shall remain
in full force and effect. In the event of any conflict between the Agreement and this Amendment,
this Amendment shall control.

We have, on this day, entered into a contractual agreement with
Carolyn Arnold — Communications Consultant, Inc., (CACC), for
general consulting services.
You are hereby authorized to provide necessary data and information
from your records to enable her to perform an audit on late payment
charges and monitor adjustments.
Please instruct your various departments to cooperate in this matter
by directing all questions of said service to Carolyn or members of the
CACC staff at 830-249-4100.
