HomeMy WebLinkAboutContract 26391 CITY SECRETAjjy CONTRACT NO, AGREEMENT STATE OF TEXAS § KNOW ALL BY THESE PRESENTS: COUNTY OF TARRANT § This agreement is entered into by and between Senior Citizen Services of Greater Z�l Tarrant County, Inc., a legally constituted non-profit entity, (herinafter referred to as "SCS") and the City of Fort Worth, a home rule municipal corporation of the State of Texas, located within Tarrant and Denton Counties, (hereinafter referred to as "CITY"). RECITALS WHEREAS, on June 3, 1996, the CITY agreed to lease on a part-time basis to the SCS, Z_ space at various Community Centers operated by the CITY's Parks and Community Services Department. The initial agreement was for a period of three years with two one-year renewal options and WHEREAS, the senior citizens in the neighborhoods and surrounding areas of the Community Centers continue to need the services provided by this citywide program and WHEREAS, the SCS has requested that the CITY lease the needed space to the SCS under a five year agreement, with one five-year renewal option, in order to continue to provide services to senior citizens within Tarrant and Denton Counties; NOW THEREFORE, in consideration of the mutual covenants herein expressed, the parties agree as follows: AGREEMENT I. DESCRIPTION. For and in consideration of the payment of the rental fee set forth and the performance of the agreements herein, CITY contracts with and does hereby lease to SCS, the nonexclusive use of such portions of Como, Diamond Hill,Northside,North Tri-Ethnic, Riverside (on Sylvania Avenue) and Worth Heights Community Centers during the weekday hours of 8:00 a.m. to 3:00 p.m. and the exclusive use of the Fellowship Comer durino, the weekday hours of 8:00 a.m. to 4-00 p.m.; such areas described and shown on the copies of the floor plans of the buildings marked as "Exhibit A", consisting of a combined total area of approximately 20,201 square feet and hereinafter referred to as the"demised premises". "Exhibit A" is attached hereto and incorporated herein by reference. CITY shall have use of said areas after 3:00 p.m. weekdays and all day on weekends and holidays and retains the right to rent the multi-purpose rooms and kitchen to outside parties. SCS shall use the demised premises for the purposes set forth in this agreement and no other use of the Centers by SCS shall be permitted unless SCS obtains prior written approval of the CITY. However, it is agreed between the parties that SCS may conduct programs at the Greenbriar Community Center under the supplementary provisions set forth in "Exhibit B," and may conduct nutrition programs at the Southwest and Highland Hills Community Centers, under the supplementary provisions set forth in"Exhibit C". Parties agree that, in addition to those provisions set out in"Exhibit B" and"Exhibit C", all the terms and provisions of this contract apply to any programs conducted at the Greenbriar, Southwest and/or Highland Hills Community Centers. 2. TERM OF AGREEMENT. This lease shall be for a term of five (5) years, beginning on the 1" day of October 2000, and terminating on the 301h day of September 2005. SCS shall have the option to renew this lease for one additional five (5) year term. SCS shall give notice of its intent to exercise such option to renew at least ninety (90) days before the expiration of the initial term. Failure to timely give said notice shall, at the CITY's option, terminate this lease at the end of its initial term. 3. FEE. SCS agrees to pay to CITY, as rental for the total demised premises, the sum of One Dollar($1.00) per year commencing on or before the first day of October 2000, and payable on or before the first day of October each succeeding year thereafter. Payment of the annual rental shall be made at the administrative office of the Parks and Community Services Department located at 4200 South Freeway, Suite 2200, Fort Worth, Tarrant County, Texas or at any other location so designated by the Parks and Community Services Director or his/her designee for the CITY. SCS further covenants and agrees to accept the demised premises in their present condition, that they are suitable for the use intended, free from defects and in good condition for the purposes intended. SCS further agrees that it is thoroughly familiar with such 12 V 2 conditions due to personal inspections by SCS and in no way relies on any representations by CITY as to the condition of the premises or their suitability for the purposes intended. 4. USE OF PREMISES. A. SCS covenants and agrees to use the demised premises solely for the operation of its social service, recreational activities and nutrition programs for senior citizens and agrees not to, in any way, obstruct or interfere with the rights of the CITY or injure or annoy other tenants or users of said buildings. B. SCS shall not do, or pen-nit to be done, anything in or upon any portion of said buildings or bring or keep anything therein or thereon which will in any way conflict with the conditions of any insurance policy upon the building or any part thereof. SCS shall not cause in any way an increase in the rate of fire insurance upon the buildings or property. SCS agrees that no decorative or other materials shall be nailed, tacked, screwed or otherwise physically attached to any part of the property of the CITY without written approval from the Parks and Community Services Director or his/her designee. B. The City will be responsible for all water, sewer, electricity, gas and waste disposal utility expenses. SCS will be responsible for all communications utility expenses, including local and long distance telephone charges, computer charges and cable television charges. Any additional electrical or utility service required by SCS will be at the sole expense of SCS. C. SCS and CITY mutually agree that any expenses related to the repair and maintenance and/or replacement of commercial equipment including,but not limited to the refrigerator, freezer, dishwasher, oven, steam table or other appliances and major equipment shall be shared on a "50-50" basis by the CITY and SCS, subject to the availability of funding by the CITY. If said equipment needs repair, maintenance and/or replacement due to the negligence of one party, the negligent party shall assume full responsibility for all expense arising out of said negligence. An inventory of shared appliances and major equipment will be mutually agreed upon and retained by both parties. D. The CITY, on at least a quarterly basis, will invoice the SCS for the shared expenses for all charges incurred during the billing period for the repairs or maintenance of appliances or equipment or supplies. No invoice period may exceed three consecutive 3 months. CITY will submit invoices to SCS no less than thirty days after the end of the period being invoiced, and agrees that the failure to provide timely billing may result in payments being delayed for as long as the billing was delayed. 5. WASTE. SCS agrees that it will not make or suffer any waste on the demised premises. SCS shall not make any alterations to the said premises without the first obtaining written approved from the Parks and Community Services Department Director, or his/her duly authorized designee. SCS further agrees to maintain and pick up litter in the area and perform minor housekeeping as necessary to keep the premises in a clean, orderly and sanitary condition at all times. CITY shall agree to perform any major cleaning, e.g., mop, dust mop, strip,buff and wax floors, at standards and frequencies that may be established by CITY. SCS will remove garbage and deposit in dumpster in accordance with established procedures. 6. UNLAWFUL, IMPROPER OR OFFENSIVE USE. SCS agrees that Z:> neither it, nor its officers, agents, employees, licensees, invitees or patrons shall make any unlawful, improper or offensive use of the demised premises or any part thereof. 7. INSPECTIONS. The CITY's agents, servants or employees shall be permitted by SCS to inspect the premises at any reasonable time to ascertain compliance with the terms and provisions of this agreement. 8. INDEPENDENT CONTRACTOR STATUS. SCS shall exercise its rights and privileges as an independent contractor, and not as an officer, agent, servant or employee of the CITY. SCS shall have exclusive right to control the details of its operations on the demised premises and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, sere t, employee, contractors, subcontractors,patrons and invitees. SCS agrees to abide by Policies and Procedures set forth by the Parks and Community Services Department Director and/or his/her designee. The doctrine of respondent superior shall not apply as between CITY and SCS its officers, agents, servants, employees, contractors, subcontractors, invitees or patrons, In no event shall any person participating in SOS's ------------------- operations on the demised premises be considered an officer, agent, servant or employee of the CITY. 9. INDEMNITY. SCS agrees to indemnify, hold harmless and defend the CITY, its officers, agents, servants and employees, from and against any and all claims or suits for property damage or loss and/or personal injury, including death, to any and all persons, of whatsoever kind of character, whether real or asserted, arising out of or in connection with, directly or indirectly, the leasing, maintenance, use, occupancy, existence or location of said premises during the term or this Agreement, unless such claims or suits are a result of the sole alleged negligence of officers, agents, servants, employees, contractors, subcontractors, licensees or invitees of the CITY. 10. TERMINATION. A. In the event SCS fails or refuses to fully perform and satisfy all of its covenants and obligations, whether expressed or implied, the CITY may terminate this Agreement, enter and obtain possession of the premises and remove SCS without notice to SCS and without being deemed guilty of trespass and without any liability whatsoever on the part of the CITY. Such removal and termination shall not relieve or release SCS from any liability or obligation unto the CITY previously incurred under this lease agreement. SCS hereby grants a lien to the CITY upon all personal property belonging to SCS in or on the demised premises as a possessory pledge to secure the timely performance by SCS of all of its obligations hereunder. In the event of default by SCS, the CITY is and shall be empowered and authorized to seize and hold all of the personal property belonging to SCS in the above-described premises to secure such performance. Pursuant to said seizure, CITY is authorized to sell same at public or private sale and to apply the proceeds thereof first to pay the expenses of sale and to pay all amounts due the CITY hereunder, holding the balance remaining, if any, subject any Order pertaining to SCS. A copy of this Agreement shall be the only warrant required. B. CITY may terminate this lease at any time for any reason upon thirty (30) days,written notice delivered to the SCS. In the event that SCS fails to comply with or breaches any of the to _s and provisions of this lease, CITY shall have the night to immediately declare this lease terinninated without notice to SCS. 5 C. Any failure of CITY to terminate this lease or the acceptance by CITY of rentals for any period of time after any breach, default or failure shall not be determined to be a waiver by CITY of any rights to terminate this lease for any subsequent breach, default or failure. 12. DELIVERY OF PREMISES. SCS further agrees that it will, at the end of the term of this lease, or subsequent option period, peaceably deliver up unto the CITY the demised premises and all appurtenances or improvements thereon in a good state of repair, as aforesaid, and vacant, unencumbered and in good and tenantable condition. 13. RULES,,,REGULATIONS AND OPERATION. The premises shall be subject to the same rules, regulations and methods of operation as any other public facilities operated by the City of Fort Worth Parks and Community Services Department for the public benefit. SCS shall comply with all ordinances and regulations of the CITY and with the laws of the State of Texas and of the United States of America applicable to the use of said premises. SCS shall obtain and pay for all necessary permits, licenses and fees used in connection with the use of the premises. 14. DAMAGE TO PERSONAL PROPERTY. During such times as CITY is leasing the demised premises to third parties as permitted in paragraph I of this Agreement, the CITY shall be liable for the loss, injury or damage to any personal property that belongs to SCS and is properly secured and placed in the demised premises by SCS which is sustained during such use and occupancy of the demised premises by third parties 15. CONCESSION FEES, SCS covenants and agrees to post, in a conspicuous place on the premises, a list of all authorized prices charged for any items of goods or services sold hereunder. SCS will submit such price list to the office of the Parks and Community services Department Director for prior approval. SCS agrees that no goods or services will be sold without the prior written approval of the Parks and Community Services Department Director, or his/her duly authorized representative. 1W 6 16. INSURANCE A. SCS agrees to supply to the CITY a certificate of public liability insurance; such insurance shall be in effect for the period of this agreement, as follows: Property damage $1,000,000 Bodily injury, including death, each person $1,000,000 Bodily injury, including death, each accident $1,000,000 Such insurance amounts shall be increased by SCS at the sole option of the CITY. SCS shall revise such amounts within thirty (30) days following written notice by the CITY to SCS of such requirement. B. The policy shall be endorsed to show that the CITY is an additional insured and reference to this endorsement shall be included in the "Description" section of the certificate and the City of Fort Worth shall be listed as a Certificate Holder. 17, FUNDING LIMITATIONS. As to the CITY's performance of its obligations under this Agreement, SCS acknowledges and agrees that the CITY is a governmental entity, and because of statutory, constitutional and City Charter provisions it cannot commit to the funding of the obligations of the SCS, as described herein, beyond the current fiscal year. Therefore, the funding obligations of the CITY described herein are subject to and conditioned upon the City Council appropriating for each fiscal year funds to satisfy such obligations. 18. ADDITIONAL FACILITIES. The option for the addition of new facilities and the elimination of existing facilities will be included in this agreement under the above terms as mutually agreed upon in writing by the SCS. 20. ASSIGNMENT. Neither party hereto shall assign or sublease its privileges, rights or duties hereunder without written permission of the other party. 21. PARTIES BOUTI). This Agreement shall be binding upon the successors and assigns of both parties in like manner as upon the original parties. 7 22. APPLICABLE LAW. This agreement is entered into subject to the provisions of all applicable federal, state and local laws or ordinances and the requirements of any and all governmental regulatory agencies having jurisdiction over the subject matter and venue shall be in Fort Worth, Tarrant County, Texas or the Federal Court of the Northern District of Texas. 23. SEVERABILITY OF PROVISIONS. if any of the provisions contained in this Agreement shall be held for any reason to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability, shall be construed as if such invalidity, illegality, or unenforceability had never been contained herein. 24. SOLE AGREEMENT. This Agreement constitutes the sole and only agreement of the parties hereto and supersedes any prior understanding or write or oral agreements between the parties respecting the subject matter. GREENBRIAR COMMUNITY CENTER TERMS AND PROVISIONS The following are the terms of agreement between the City of Fort Worth Parks and Community Services Department(PACSD) and Senior Citizen Services of Greater Tarrant County, Inc. (SCS) regarding procedures to be used at Greenbriar Community Center(GBCC) in accordance with the terms and conditions of this Agreement. Additions, deletions, and amendments may be made to this document with the written approval of both parties. PACSD shall: 1. Provide use of building for SCS Monday through Friday from 8:00 a.m. to 3:00 p.m. during school year and Monday through Friday from 8:00 a.m. to 12:15 p.m. during Summer Camp. Notification of exact dates will be given upon publication by Fort Worth Independent School District(FWISD). 2. Provide full use of the center Monday through Friday from the hours of 8:00 a.m. to 11:00 a.m. 3 Provide use of the following space: Activity Room#1—Monday through Thursday from 8:00 a.m. to 11:00 a.m.,Friday from 8:00 a.m. to 3:00 p.m. Activity Room#2—Monday through Friday from 8:00 a.m. to 3:00 p.m. Dance and Exercise —Monday through Thursday from 8:00 a.m. to 12:00 p.m., Friday 8:00 a.m. to 3:00 p.m. Gym - Monday through Friday from 8:00 a.m. to 11:00 a.m. Kitchen -Monday through Friday from 11:15 a.m. to 12:45 p.m. 4. Provide use of the following space during Summer and Intercession Camps: Activity Room #2—Monday through Friday from 8:00 a.m. to 12:15 p.m. Dance/Exercise—Friday from 8:00 a.m. to 11:00 a.m. Kitchen-Monday through Friday from 11:00 a.m. to 12:15 p.m. 5. Provide kitchen area for joint use. 6. Provide access to facilities during bad weather days if FWISD schools are closed during the hours of 10 a.m. to 7 p.m. SCS does not anticipate using the center if FWISD schools are closed. 7. Provide toilet paper, paper towels, and hand towels for the community center. SCS will use what is required for their program from this supply and reimburse GBCC a flat rate of$25.00 per month for the use of paper supplies. 8. Provide the following storage space: Activity Room#1 - space for one of their own storage cabinets, one desk and 4 yellow cabinets. Activity Room #2 - complete use of built-in cabinets #I and #3 and use of top half of built-in 42, Kitchen—three top kitchen cabinets to the right of stand-alone sink and two bottom kitchen cabinets to the right of the stand-alone sink. Kitchen space for one freezer and one refrigerator/freezer both provided by SCS. Ceramics Room—a locking two-drawer file cabinet and large rolls of butcher paper. 9. Notify SCS on same day as notification is received of any planned or scheduled building repair and maintenance. Repair and maintenance will only occur when PACSD staff is present in the building. ""j GREENBRIAR COMMUNITY CENTER TERMS AND PROVISIONS 10. Provide a copy of the community center's quarterly activity and reservation calendar to SCS by the first of each quarter and keep SCS notified of changes and additions. SCS shall: 1. Anticipate non-use of the center during the following holiday times: New Years Day, MLK Day,Memorial Day, Independence Day, Labor Day, Thanksgiving Day and the Friday following, Christmas Eve, Christmas Day. 2. Inform PACSD staff of any problems and complete the morning building inspection checklist that day. 3. Provide their own garbage bags. GBCC will bill SCS on a quarterly basis for toilet paper, Z�l paper towels, and hand towels. 4. Maintain and police the areas used by SCS on any given day,performing minor housekeeping as necessary to keep the areas used in a clean, orderly and sanitary condition at all times SCS is using the premises. Minor housekeeping includes,but is not limited to, sweeping and mopping. SCS does not provide cleaning services during the PACSD summer program; however SCS will ensure tables and kitchen areas used during the summer are cleaned after use. 5. Provide a copy of their monthly activity calendar to the Community Center Supervisor by the first of each month. SCS shall notify Community Center staff of schedule changes and additions. 6. Prohibit access or accept deliveries to GBCC of anyone other than SCS participants Monday through Friday between the hours of 8:00 a.m. and 11:00 a.m. 7. Assist PACSD staff in inventorying and receipting all city keys in SCS staff possession. This inventory will be kept current and updated with changes in personnel. 8. Ensure no one else is using the premises when GBCC is open for SCS activities. In the event anyone other than SCS participants are found at the center, SCS staff will page the Center Supervisor. 4.a 1 xn EXHIBIT B. SOUTHWEST COMMUNITY CENTER—HIGHLAND HILLS COMMUNITY CENTER TERMS AND PROVISIONS This Memorandum of Agreement is made by and between the City of Fort Worth Parks and Community Services Department,hereinafter referred to as PACSD and the Senior Citizens Services of Greater Tarrant County,Inc.,hereinafter referred to as SCS. The following are the terms of agreement between PACSD and SCS with respect to the establishment and operation of nutrition sites at Southwest Community Center(SWCC), 6300 Welch Ave. and Highland Hills Community Center(HHCQ, 1600 Glasgow Rd., Fort Worth, Tarrant County, Texas. Additions, deletions and amendments may be made to this document with the written approval of both parties. PACSD shall: 1. Provide the following space: SWCC— 1,513 square feet on Mondays and Thursdays only; HHCC— 1,430 square feet on Mondays and Tuesdays only. 2. Provide the use of the following equipment to support this program at each site: shared office space,refrigerator, oven, tables, chairs, and secured storage space for food service supplies. 3. Provide maintenance and utilities to support this program. 4. Provide staff who is responsible for the operation of the nutrition program at each site and all staff required to run program, including volunteers. 5. Comply with city health inspection standards for food service sites, all health and safety codes, and other applicable regulations pertaining to the physical condition and maintenance of the facility. 6. Provide access to facilities, records, and personnel for on-site evaluation of the meals and related support service by SCS staff. SCS staff must accompany any other agency requiring access. 7. Prepare and provide all forms, reports, and statements required for program support. This includes annual statement of in-kind contributions for facilities, equipment, and staff. 8. Provide an envelope system for the use of eligible participants of the nutrition program to contribute if participant chooses to contribute. 9. Require non-eligible (persons who are under the age of sixty years) individuals served to pay $4.00 per meal. 10. Set up a collection and release procedure to ensure all contributions and funds collected are forwarded to SCS. 11. Ensure that all nutrition education inforniation supplied by SCS is available to all participants at these nutrition sites. 12, Provide CPR& First Aid training for Center staff involved in program. EXHIBIT C. SOUTHWEST COMMUNITY CENTER—HIGHLAND HILLS COMMUNITY CENTER TERMS AND PROVISIONS SCS shall: 1. Provide noon lunches at SWCC on Mondays and Thursdays and at HHCC on Mondays and Tuesdays with the exception of other mutually agreed upon closure dates and for the following holidays: New Years Day, MLK Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, day following Thanksgiving, and Christmas Day. 2. Provide training for center staff and volunteers on food handling procedures as required by state and local health departments. Food Handlers Training Certificates shall be provided for posting in kitchen/dining area as required by Tarrant County Health Department. 3. Comply with all applicable Federal and State Guidelines for Congregate Nutrition Services as funded by the Older Americans' Act of Congress, Title 111-Cl and USDA with regard to the meals served by SCS. Meals shall contain at least one-third of the current recommended dietary allowance established by the Food and Nutrition Board of the National Academy of Sciences,National Research Council. 4. Provide management, programming, training, and technical assistance relative to program operations. Provide copies of health inspection standards for food service sites, all health and safety codes, and other applicable regulations pertaining to the physical condition and maintenance of the facility relating to the food service program. 5. Provide annual program and foodservice sanitation compliance site visits. 6. Provide reservation and attendance sheets which participants are required to sign for meals received. 7. Train PACSD staff on how to prepare the required paper work for the program. 8. Provide copies of all forms, reports, statements, due dates, and deadlines required for program support. 9. DISCUSSION: On March 14, 1996 (M&C C-15331), the City Council authorized City Secretary Contract (No. 21879) permitting the use of six Community Centers and Fellowship Corner by SCS for a three-year period beginning October 1, 1995, and ending September 30, 1998, with an option to renew for two subsequent one-year periods by mutual agreement. The current agreement allows SCS the nonexclusive use of Como, Diamond Hill, Northside, North Tri-Ethnic, Riverside (on Sylvania Avenue) and Worth Heights Community Centers on specified days and times and the exclusive use from 8:00 a.m. to 4:00 p.m. of Fellowship Corner. In addition, there are currently two Memorandums of Understanding (MOU) between the SCS and the Parks and Community Services Department. One MOU permits SCS to use space on an established schedule at Highland Hills and Southwest Community Centers, and the other MOU permits SCS to use space at the Greenbriar Community Center, also on an established schedule. The proposed agreement will allow SCS to continue to lease space from the City for part-time use at Como, Northside, North Tri-Ethnic, Riverside (on Sylvania Avenue) and Worth Heights Community Centers from 8:00 a.m. to 4:00 p.m., and for exclusive use of the fellowship center from 8:00 a.m. to 4:00 p.m. In addition, this agreement will incorporate the two MOU executed by the City and SCS during the prior fiscal year for part-time use of the Greenbriar Community Center, and for the operation of nutrition sites at the Southwest and Highland Hills Community Centers under the same terms and 1 conditions set forth in the original agreements. The term of the new agreement will begin October 1, 2000, and end September 30, 2005, at a rental fee of $11,00 per year, with the option to renew the agreement for an additional five years by mutual consent of both Parties.
